As an Assistant General Counsel for Technology and Managed Services, you will provide advice, counsel, and legal support in the provision of managed services and other technology services and products to EY clients. You will focus on advising, drafting, updating and negotiating the legal terms and conditions of client‑facing complex, multi‑year managed services, outsourcing, systems implementation, application development & maintenance, software licenses, software‑as‑a‑service, artificial intelligence, big data, analytics, cloud computing, and other technology agreements.

You will be a part of EY’s Technology and Managed Services legal group and work closely with other General Counsel Office (GCO) groups in the United States and other jurisdictions.

Key Responsibilities
  • Draft, update and negotiate client‑facing Technology & Managed Services Agreements, advising on contractual strategy and risk.
  • Advise on key legal risks associated with the technology underpinning Managed Services Agreements.
  • Collaborate closely with other members of the US GCO and local counsel in other EY member firms.
  • Coordinate legal resources on managed services projects.
  • Support coordination with cross‑functional business and internal support teams (Data Privacy, Talent, Information Security, and Tax).
  • Advise on the accuracy and sufficiency of contractual documentation to protect EY interests.
  • Understand existing EY policies and develop/enhance policies and guidance relevant to managed services and other technology services and products.
  • Manage workflow in a highly dynamic environment, remaining responsive, reliable, communicative, and accountable.
  • Build relationships and team seamlessly with other GCO members within the Legal Practice Groups to deliver exceptional service to clients of GCO.
  • Develop and deliver training on Technology & Managed Services Agreements, knowledge sharing and best practice across the legal network and business.
Qualifications
  • 8+ years of relevant complex services and technology‑related transactional experience in a client‑facing capacity, including drafting and leading the negotiation of Technology & Managed Services Agreements.
  • Experience negotiating across client’s internal counsel, outside law firms, and procurement.
  • Experience developing contracting templates, playbooks, and standards.
  • Experience in data privacy, intellectual property law, and the use and provision of technology in the context of Technology & Managed Services Agreements.
  • Experience with cross‑border contracting (including employee matters such as autop‑transfer laws, local country agreements, and cross‑border data transfer).
  • Ability to understand, assess, and negotiate terms for current and new technologies (cloud and AI) and explain related legal and business risks.
  • Excellent communication skills, both oral and written.
  • Excellent negotiation and interpersonal skills.
  • High degree of cultural and emotional intelligence, demonstrated resilience and flexibility.
  • Ability to work independently and team effectively with colleagues in other functions and geographic locations.
  • Ability to grasp, understand, and accurately articulate complex legal and contractual principles, balancing risk from both a legal and commercial perspective.
