About the opportunityThe Director of Corporate Development is responsible for shaping and executing the company’s corporate development strategy. This role will oversee mergers and acquisitions (M&A), strategic partnerships, divestitures, and other initiatives to drive inorganic growth and enhance enterprise value. Working closely with the CEO, CFO, COOs, and the Board, this role will identify opportunities, lead transactions, and ensure alignment with the company’s long-term strategic objectives.
Key Responsibilities- Strategy Development & Market Intelligence: Work closely with senior leadership and Private Equity sponsors to develop and refine the corporate strategy, identifying target industries, geographies, and business profiles that align with the company’s growth goals. Evaluate industry trends, competitive landscapes, enterprise value impact, and macroeconomic factors to inform M&A strategy and decision-making.
- Deal Sourcing & Pipeline Management: Proactively identify and evaluate potential acquisition targets, leveraging industry networks, investment banks, and other channels including search firms to build a robust pipeline of opportunities. Initiate and cultivate relationships with potential targets, ultimately resulting in Letters of Intent and acquisition processes.
- Due Diligence: Lead comprehensive due diligence processes, coordinating with internal teams (operations, legal, human resources, technology, safety and compliance, finance and accounting) and external advisors to assess financial, operational, and strategic fit of target companies.
- Financial Analysis & Modeling: Conduct financial modeling, valuation analysis, and scenario planning for potential transactions, including performing the valuation modeling.
- Negotiation and Deal Execution: Lead negotiations of deal terms, including purchase agreements, financing structures, and other contractual arrangements. Communicate effectively with all internal and external stakeholders through the process.
- Integration Planning & Execution: Partner across operational and functional leaders to develop and execute post-acquisition integration plans, ensuring seamless transitions and realization of targeted EBITDA.
- Strategic Thinking: Ability to translate corporate strategy into actionable M&A and growth initiatives.
- Financial Acumen: Advanced proficiency in financial modeling, valuation, and deal economics.
- Deal Leadership: Proven ability to lead end-to-end transaction processes independently.
- Executive Communication: Strong presence and ability to communicate effectively with C-suite, Board members, investors, and external partners.
- Negotiation & Influence: Highly skilled in negotiating complex commercial and legal terms.
- Cross-Functional Leadership: Ability to work across diverse functions and align stakeholders with competing priorities.
- Project Management: Strong organizational skills with the ability to manage multiple concurrent transactions.
- Analytical & Detail-Oriented: Strong attention to detail while maintaining a high-level strategic view.
- Relationship Builder: Ability to establish credibility and long-term relationships with advisors, bankers, and acquisition targets.
- 8–12+ years of experience in corporate development, investment banking, private equity, management consulting, or a related strategic finance role.
- Demonstrated experience leading multiple M&A transactions from sourcing through close and integration.
- Experience working in a Private Equity-backed environment strongly preferred.
- Proven track record of building acquisition pipelines and executing growth strategies.
- Experience managing external advisors (legal counsel, accounting firms, consultants).
- Bachelor’s degree in Finance, Accounting, Economics, Business Administration, or a related field required.
