OverviewSUMMARY OF FUNCTIONS
The primary role of the transactional paralegal is to support the legal department in the execution of corporate and finance transactions as well as development activities for large photovoltaic solar projects throughout the Northeastern U.S. This is a new position to support our legal team of one attorney and two full time paralegals.
Responsibilities- Financing and Corporate Transaction Management
- Support structured finance closings and transactions with respect to real-estate and corporate documentation
- Help coordinate and manage due diligence by preparing checklists, gathering, organizing, and communicating information necessary for debt financings, merger and acquisitions, and tax equity closings
- Work closely with third party consultants to prepare necessary information for financing of projects including draws from development lines, construction loans, and permanent debt financings
- Support existing relationships with lenders, tax equity investors, and brokers, responding to inquiries and soliciting information as needed
- Entity formation in numerous states, EIN registration, and other legal compliance filings
- Facilitate final closing documentation and signatures
- Real Estate and Development
- Coordinate and review title searches, surveys, Phase I ESAs, and insurance certificates
- Drafting and reviewing letters of intent, option agreements, purchase and sale agreements, leases, memorandum of lease, estoppels, non-disturbance agreements
- Working closely with utility companies to obtain access and easement rights necessary to construct the Company’s projects
- Supporting development team’s permitting applications including assisting in compiling applications, coordinating sending required notices and ensuring that deadlines are met
- Construction Support
- Assist in preparation of EPC contracts and schedules, ensure COIs and supporting documents are obtained
- Coordinate bonds / letters of credit required for construction
- Monitor Ground lease compliance and site access
- Coordinate with construction team and contractors for items needed for loan/tax equity draws including AIA’s and Lien waivers
- Work with legal team and outside counsel on survey and title matters related to construction activities
- Coordinate with construction team to obtain collateral assignments, consents, warranties for financing requirements and other matters related to procurement and construction contract management
- MINIMUM QUALIFICATIONS
- Bachelor’s degree or paralegal certificate or appropriate job-related experience required
- Minimum of 5 years of experience as a real estate or corporate paralegal at a sophisticated law firm or real estate developer
- Experience in tax equity or construction/development (while not required) would be considered a plus
- Strong organizational skills and attention to detail.
- Proactive, results oriented with the ability to produce deliverables and meet timelines in a dynamic and entrepreneurial work environment
- Ability to work independently; driven and self-motivated
- Ability to manage multiple projects in parallel and quickly prioritize, solve problems and respond to team needs
- Strong communications skills – both external and internal
- WORK ENVIRONMENT
- The transactional paralegal will be located in our West Hartford office. The position is full time with Monday through Thursday being in office with the option to work in person or remote on Friday.
- REMUNERATION
- Salary commensurate with experience with an anticipated base salary of $90,000 - $100,000 as well as benefits and significant bonus opportunity.
