Position: Secretary of the Board of Trustees and Director of Community Relations

Reporting to the General Counsel and collaborating with the President, the Secretary of the Board of Trustees serves as a partner in achieving the goals and objectives of the Board and the President. Organizes and implements all operational functions of the Board. Works with the Board Chair, President and Senior Leadership to set agendas and to plan strategically for matters that warrant Board attention.

Facilitates communications between the College and the Board, and serves as the primary point of contact for the trustees. With the legal oversight of the General Counsel, ensure legal and fiduciary responsibilities of the Board are met. Collaborates with the General Counsel on all matters of governance and bylaws. Works collaboratively with the President’s Office and the General Counsel on key institutional initiatives and priorities.

Responsible for facilitating excellent community relations with the Town of Wellesley and neighboring towns.

Primary Position Responsibilities Secretary of the Board
  • In partnership with the Board Chair and the President, prepare agendas for board meetings.
  • Organize board meetings and periodic retreats, including the preparation of materials, meeting and hotel arrangements, facilitation and follow-up as well as providing accurate certifications of Board action and authority.
  • Responsible for minutes, motions, legal documents and committee assignments, in collaboration with the General Counsel.
  • Oversees and coordinates the preparation and timely distribution of board materials.
  • Serve as primary point of contact for trustees, facilitate communications between College and the Board.
  • Staffs and prepares minutes for Executive and Governance Committees and full Board, and task forces as needed.
  • For the Governance Committee, work in partnership with the General Counsel to actively maintain surveillance for potential board talent and provide support in developing board pipelines.
  • In partnership with the President and General Counsel, develop and execute onboarding and orientation for new board members and ongoing education for all trustees.
  • With the legal oversight of the General Counsel, ensure legal and fiduciary responsibilities of the Board are met.
  • Maintains organized record of materials related to the Board.
  • Collaborates with the General Counsel on all matters of governance and bylaws.
  • Supports Trustee involvement in college events such as Commencement and Convocation.
  • Partners with Development and other divisions on outreach to former Trustees.
Community Relations
  • Coordinate efforts to enhance community engagement with the town and neighboring towns.
  • With the legal oversight of the General Counsel, assist College in obtaining and maintaining various local government permits and licenses, as well as other local compliance requirements.
Legal/Compliance Support
  • Works collaboratively with General Counsel to ensure compliance with Massachusetts Department of Higher Education oversight requirements.
  • Assists General Counsel with compliance priorities, such as developing new policies or implementing new legal requirements.
President’s Office
  • Works collaboratively with the President’s Office on key institutional initiatives and priorities.
Supervisory Responsibilities
  • Not directly responsible for any positions. However, the position works closely with the President’s Office Coordinator on Board of Trustee logistics, billing, planning and printing. This position works with student workers on specific projects.
Basic Qualifications Education Required
  • B.A. required. Masters or JD preferred.
Experience Required
  • Significant board or related administrative experience.
  • Minimum of 7-10 years responsible administrative experience.
Skills and Abilities
  • The ability to manage multiple assignments/projects simultaneously, handle sensitive situations and information with the utmost discretion and understand and solve complex issues. Ability to work in a collaborative, team-based environment.
