Overview

A leading U.S. law firm is seeking a mid-level associate (2–6 years of experience) to join its Business and Technology Transactions practice
. This role can be based in any of the firm’s major offices (Baltimore, Chicago, Ohio, New York, D.C., Philadelphia), offering flexibility and a chance to work with high-calibre colleagues across multiple markets.

The Opportunity

You’ll advise sophisticated clients, from innovative start-ups to global enterprises, on a diverse range of complex commercial and technology transactions
. This includes structuring, drafting, and negotiating agreements covering software, cloud services, ecommerce, supply chain, logistics, outsourcing, and IT services
.

Key Responsibilities
  • Structure, draft, and negotiate complex commercial and technology agreements, including SaaS, licensing, procurement, outsourcing, ecommerce, and payment processing contracts.
  • Advise on strategic business and technology initiatives, providing practical, solution-oriented guidance.
  • Support clients with ongoing commercial advisory work, pre-litigation disputes, and regulatory compliance matters.
  • Collaborate closely with attorneys across practice areas and offices, providing holistic counsel to national and multinational clients.
About You
  • J.D. from an accredited law school with strong academic credentials.
  • 2–6 years of experience practicing in a top-tier law firm and/or in-house legal department.
  • Strong drafting, negotiation, and communication skills.
  • Experience or interest in ecommerce, logistics, software, and emerging technologies.
  • Self-motivated, collaborative, and adaptable to a fast-paced, dynamic environment.
  • Licensed to practice law in the jurisdiction where you will be based.
