Overview

The Contract Management Associate’s responsibilities include the development, negotiation, execution, and management of contracts under the direction of the Associate General Counsel/Team Leader of Legal Department.

This position is based in Washington, DC where we have a hybrid work environment (roughly 40% of the time in the office).

Major Duties and Responsibilities
  • Collaborates with business leads across the College to define contractual needs and relationships.
  • Drafts complex and specialized contractual agreements, including but not limited to service agreements, collaboration agreements, license agreements, and hotel and meeting agreements. Maintains and updates contractual templates for use across the organization.
  • Provides guidance to business team members for appropriate contract structure and Statement of Work development.
  • Assists business lines in preparing requests for proposals, reviews complex solicitations and assists business lines in the preparation of specialized and/or non-routine responses for proposals, bids, and contract modifications. Maintains and updates proposal templates.
  • Assists business lines in the negotiation of contractual terms and conditions adhering to established standard operating procedures. Maintains a boilerplate of contractual provisions for use in all contracts with applicable regulations and policies.
  • Applies knowledge of tax-exempt organization requirements to the contracting process, including advisement on proper tax treatment of income and associated contractual provisions necessary to maximize non-taxability.
  • Facilitates contract review and sign-off process.
  • Participates in contract initiation procedure including reviewing contractual terms with the business leads and communicating action items necessary for contractual compliance.
  • Works with business leads to assist, as appropriate, with the administration of executed contracts, specifically to ensure contractual compliance with emphasis on adhering to the terms and conditions, adhering to payment schedules and stated deadlines, and complying with all applicable laws.
  • Maintains contractual records.
  • Evaluates opportunities to enhance the contract management process through technical innovation.
  • Monitors best practices in the contract management profession and assesses feasibility of implementation of such practices.
  • Advises business leads on issues arising from executed contracts, including matters of intellectual property rights and contract breach.
  • Develops strong cooperative working relationships between both internal and external customers.
  • Performs other duties as assigned.
Required Qualifications
  • Bachelor’s Degree or Paralegal Certification
  • Five years minimum professional experience within contracts, grants, or procurement department with experience in contract management or procurement. Strong preference for contract professionals with experience in tax-exempt organizations, healthcare matters, and licensing arrangements.
  • Proven ability to cultivate, maintain and grow relationships with customers, vendors, volunteers and staff.
  • Excellent verbal and written communication skills with attention to detail.
  • Contract negotiation skills, familiarity with legal terms, and experience working with commercial contracts.
  • Ability to work well with little direct supervision and operate in a self-directed mode.
  • Dedication to customer service and ability to positively represent the organization.
