Overview
The Associate Corporate Counsel plays a pivotal role in the company’s legal, transactional, and compliance functions, with a strong emphasis on corporate, commercial, financing, and real estate matters. Reporting to General Counsel, this position manages complex transaction data rooms, coordinates closings, prepares and files corporate and regulatory documents, and maintains comprehensive legal records. The role requires drafting and review of commercial agreements;
building and maintaining capital partner reporting repositories; and coordinating the review, execution, and storage of legal documents.

- Serve as a central liaison between internal departments, external counsel, counter parties, and capital partners to ensure deliverables are accurate, complete, and timely.
- Identify and resolve bottlenecks, maintain organized entity databases and organizational charts, and track contract and compliance deadlines.
- Experience in corporate law, commercial transactions, financing, and/or commercial real estate with ability to independently draft, review, and negotiate commercial agreements.
- Exceptional organizational skills, attention to detail, and ability to manage multiple priorities across numerous entities.
- Experience with high-volume corporate database management, commercial real estate title and survey review, and business entity formations.
- Big Law experience and legal AI functionality is a plus.
Full-time in office position located in Warwick, RI.
Requirements- Must be licensed to practice law in any state within the United States and in good standing therein.
