About Our Client

Job Description- Ensure compliance with public company, securities law, and stock exchange disclosure obligations.
- Advise CFO, Controller, Investor Relations, Treasurer, and Finance on corporate transactions, disclosures, and governance matters.
- Draft, review, and advise on SEC and NYSE filings (10‑K, 10‑Q, 8‑K, Proxy) and support earnings releases and external communications.
- Oversee statutory and voluntary disclosures, including sustainability and corporate responsibility reporting.
- Manage insider‑trading compliance, Section 16 reporting, and related internal controls.
- Own and refine disclosure procedures and internal controls to improve accuracy, diligence, and efficiency.
- Provide legal and strategic guidance on corporate transactions and business priorities, including AI, privacy, IP, and data strategy.
- Monitor legal and regulatory developments, surfacing emerging risks and advising on business impact.
- Support corporate governance for a newly established Board, including policies, procedures, meeting materials, minutes, and resolutions.
- Lead and develop an agile corporate legal team (4-6 attorneys), fostering excellence, clarity, and a strong business‑partner mindset.
- Manage outside counsel, legal operations, budgets, and scalable systems for delivering legal services.
- Build strong relationships across Finance, Treasury, FP&A, Tax, Internal Audit, Investor Relations, Communications, and with auditors and external advisors.
- Partner with the Chief Accounting Officer and Treasurer on financing and transactional matters, ensuring high‑quality outside counsel work.
- Provide ongoing support to the Chief Legal Officer and collaborate with the broader Legal team on cross‑functional priorities.
A successful Associate General Counsel (Public Company) should have:
- 12+ years of combined law firm and in‑house experience at a public company, including leading teams and building scalable public‑company processes, policies, and governance frameworks.
- JD or from an accredited law school, with active bar membership in at least one U.S. state.
- Proven ability to excel in high‑volume, complex environments with sound judgment, agility, and a steady, pragmatic approach.
- Demonstrates inclusive leadership, emotional intelligence, and the ability to pivot, delegate, and leverage team strengths to drive strategic outcomes.
- Brings exceptional business judgment, sharp issue‑spotting capability, and strong problem‑solving skills; effectively challenges existing processes, defines actionable strategies, and ensures broad stakeholder alignment.
- Communicates with clarity and influence, offering concise, commercial legal advice and creative, timely solutions across diverse corporate matters.
- Operates with autonomy while fostering collaboration; brings a positive, solutions‑oriented mindset and partners effectively across legal, business, and cross‑functional teams.
- Skilled at balancing and managing risk, making decisions that minimize exposure while enabling business opportunity and growth.
- Competitive base salary ranging from $375,000 to $385,000 annually.
- Additional benefits including a cash bonus and equity RSUs.
