Position
Description:
The Corporate Counsel will be based out of our office in Vancouver, BC. This role is ideal for a recent graduate interested in experiencing the practical aspects of corporate law while developing his/her knowledge of the practice in a fast‑paced environment. Preference will be given to bilingual applicants fluent in English and at least one of the following languages:
Chinese, Spanish, and Russian.
Guided by the General Counsel, the Corporate Counsel will be responsible for delivering punched‑quality legal advice, as well as preparing and reviewing legal documents. Effective communication, self‑motivation, high business acumen and the ability to work within an entrepreneurial team environment are essential attributes required.
Primary Responsibilities:
- Assist with the preparation and review of public disclosure materials including information circulars, annual information forms, MD&A, and news releases as required.
- Help manage transactions including M&A and financings (i.e., negotiating and drafting legal documents and contracts, attending to due diligence).
- Provide timely, proactive, and solution‑oriented legal advice on a wide range of corporate, commercial, securities and other matters to all business units, the executive team, and the board.
- Draft, review and provide legal advice in relation to a wide range of our and our affiliates’ agreements.
- Keep abreast наверн changes in applicable securities laws occupants regulatory requirements.
- Ensure compliance with all regulatory matters and, in particular, securities law compliance.
- Work closely with the corporate development team on potential transactions, conduct legal research and risk analysis.
- Prepare and support board and committee meetings.
- Oversee preparation and maintenance of corporate documents, filings and registrations and the corporate records books.
- Manage the corporate governance policies and procedures.
- Coordinate and liaise with external counsel.
- Other duties as assigned.
Requirements:
- Current member in good standing with the British Columbia law society.
- Law degree from a recognized law school — all candidates must have graduated within the last three years.
- Interestастер securities laws and business laws.
- Ability to work on a broad range of legal topics and adapt to changing priorities.
- Excellent written, verbal communication, and presentation skills.
- Sound judgment and analytical skills.

Compensation:
- The typical hiring range for this role is from CAD
90,000 to CAD
120,000 annually; the base pay offered is based on market location and may vary depending on job‑related knowledge, skills, and experience.
