Position: Corporate/M&A Associate Attorney (8-10 yrs)

Overview

Sophisticated law firm seeking an experienced Corporate/Mergers & Acquisitions attorney to support the Corporate M&A group. This role is hosted by Jobot and salary ranges from $225,000 to $325,000 per year. Our client is seeking a mid-level or higher Corporate/M&A associate who has experience drafting transaction documents, conducting legal due diligence, reviewing and compiling disclosure schedules, and managing specialists.

Job Details Responsibilities
  • Provide legal advice on a wide range of corporate matters including mergers and acquisitions, corporate governance, and compliance.
  • Draft, review, and negotiate complex legal documents such as disclosure schedules, asset purchase agreements, operating agreements, and stock purchase agreements.
  • Conduct due diligence investigations and prepare due diligence reports.
  • Advise clients on the legal aspects of business strategies and decisions.
  • Develop and maintain strong relationships with clients.
  • Stay updated on developments in corporate law and contribute to the company s knowledge management.
  • Collaborate with other departments to ensure that the company s legal strategies align with its business objectives.
Qualifications
  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the NY state bar.
  • A minimum of 5 years of experience in corporate law, with a focus on mergers and acquisitions.
  • Proven experience in drafting and negotiating disclosure schedules, asset purchase agreements, operating agreements, and stock purchase agreements.
  • Excellent legal research and writing skills.
  • Strong negotiation skills and the ability to resolve complex legal issues.
  • Ability to work independently and as part of a team.
  • Excellent communication skills, both written and verbal.
