Commercial Counsel

Overview

SOCi, the leader in AI-powered marketing solutions for multi-location businesses, is seeking an experienced and highly motivated Commercial Counsel to join our expanding in-house legal team. This role supports our large sales teams by negotiating SaaS agreements, Data Processing Agreements (DPAs), Statements of Work (SOWs), Reseller Agreements, and Partnership Agreements. The ideal candidate will have a solid foundation in commercial law with enterprise-level negotiation experience in the SaaS industry.

Salary
: SOCi expects to pay a base salary in the range of CAD 130,000 to CAD 171,000 plus bonus. Within the range, pay is determined by job-related skills, experience, and education or training.

Hybrid Opportunity: This role is fully remote until our Vancouver, BC and Toronto, ON offices are established. Once the office is in place, it will transition to a hybrid model with a 50/50 split between remote and in-office work.

• Must Have
  :
• 5 years relevant experience with 2–3 years of in-house commercial law, specifically negotiating SaaS agreements, DPAs, SOWs, Reseller Agreements, and Partnership Agreements.
• Demonstrated experience working with large sales teams and supporting enterprise-level negotiations.
• Previous experience in a tech company, particularly in the SaaS industry.
• Proficiency in CLM systems, Slack, Google Suite, and Salesforce.
• Interest in and willingness to use AI/GAI technologies in legal operations.
• Excellent interpersonal and communication skills with humility, collaboration, and a team orientation.
• Ability to thrive in a fast-paced, hypergrowth environment and adapt to evolving business needs.

• Desired Skills (but not required):
• Experience selling into financial services or regulated industries.
• Experience in Mar Tech/AdTech space.
• Work or personal experience using AI tools and systems.
• Experience working in a hypergrowth company.

• Education
  :
• J.D. or LL.B. from an accredited law school and admission to at least one state/territory bar (as applicable).

• Draft, review, and negotiate a wide range of outbound commercial contracts, including SaaS agreements, DPAs, SOWs, Reseller Agreements, Referral Agreements, and Partnership Agreements.
• Provide strategic legal advice to sales and business teams, ensuring compliance with current laws and regulations.
• Collaborate with internal teams to streamline contract management processes and optimize contract lifecycle management (CLM) systems.
• Leverage AI/GAI technologies to enhance efficiency and decision-making within the legal department.
• Maintain up-to-date knowledge of relevant laws, regulations, and industry guidance impacting the company’s products and services.
• Build strong relationships with stakeholders to support a collaborative approach to contract negotiation and compliance.
• Participate in developing and maturing the company’s legal processes and policies.
