Role OverviewBluevale is seeking an In-House Counsel to serve as a trusted legal partner to senior leadership, asset management, and operations. This role is hands-on and execution-oriented, with primary responsibility for commercial real estate, corporate, and regulatory matters across both Canada and the U.S.
The successful candidate will operate with significant autonomy, manage external counsel strategically, and balance legal risk with business objectives. This is a true generalist in-house role with real ownership.
What You’ll Do Own the In-House Legal Function- Serve as the primary legal partner to senior leadership, asset management, and operations
- Own day-to-day legal matters across the platform, balancing transactional execution with ongoing risk management
- Draft, review, and negotiate acquisition, disposition, joint venture, and financing documentation
- Support development projects, refinancings, and asset-level transactions in Canada and the U.S.
- Draft and negotiate commercial leases, property management agreements, construction contracts, and consulting agreements
- Manage active legal matters, including landlord-tenant issues, regulatory matters, construction and contractor claims, employment-related issues, and general commercial disputes
- Act as the internal owner of legal files, ensuring matters are triaged, tracked, and resolved efficiently
- Coordinate and manage external counsel on litigation, arbitration, and administrative proceedings
- Advise on landlord-tenant legislation, affordable housing compliance, and other applicable regulatory regimes
- Identify legal and regulatory risks and provide practical mitigation strategies
- Maintain visibility into legal risk exposure and provide concise updates to senior leadership
- Manage relationships with external counsel in Canada and the U.S.
- Oversee legal spend and ensure efficient use of outside specialized counsel
- Determine when matters should be handled internally versus externally
- Work closely with Asset Management, Development, Finance, and Operations teams
- Support the standardisation of contracts, templates, and legal processes as the platform scales
- Act as a pragmatic advisor focused on enabling the business
- Approximately 5 years of post-call experience in real estate, corporate, or commercial law
- Experience at a leading law firm with exposure to real estate or private capital
- University of Windsor dual JD strongly preferred
- Qualified to practise in Ontario and at least one U.S. jurisdiction, or eligible to do so
- Strong drafting and negotiation skills with the ability to operate with minimal supervision
- Commercially minded and comfortable in a lean, fast-moving organisation
- Able to manage multiple active matters across jurisdictions
- Clear, practical communicator who can advise senior executives and non-legal stakeholders
