Legal Counsel – Capital Markets/Investment Funds

Is a leading cross-border institutional investment firm, with active operations in Canada, the United States, and offshore jurisdictions.

• Provide legal counsel on a wide range of equity and debt transactions, including PIPEs, registered directs, converts, structured financings, IPOs, follow-ons, secondaries, and shareholder activism matters
• Advise on Canadian, U.S., and offshore securities regulatory matters (OSC, SEC, CIMA)
• Support private investment fund formation and ongoing operations, including offering memoranda, LP agreements, and subscription documents
• Provide day-to-day guidance on investment adviser regulation and securities compliance
• Draft, review, and negotiate commercial and trading agreements (ISDAs, prime brokerage agreements, NDAs, vendor and trading contracts)
• Assist with litigation management and risk mitigation in coordination with external counsel
• Oversee legal entity maintenance, governance matters, and regulatory filings
• Act as a legal advisor to investment, compliance, operations, and finance teams
• Support internal policy development and legal operations initiatives
• Full-time, in-house position based in downtown Toronto (in-office presence required)
• Lean legal team with direct mentorship from the Chief Legal Officer
• Flat structure with no hierarchy or rigid role definitions
• High-performance culture with strong accountability and expectations

• In good standing with the Ontario Bar
• 2+ years of call (flexible depending on fit and profile)
• Training at a top-tier Canadian and/or U.S. law firm in capital markets, securities, or investment funds
• Strong transactional foundation with experience across equity and debt structures
• Experience with PIPEs, registered directs, converts, IPOs, follow-ons, or structured financings
• Experience with private fund formation, investment adviser regulation, or securities compliance is an asset
• Proactive, sharp, and commercially minded
• Comfortable operating in a fast-paced environment
• Strong communication skills and team-oriented approach
