The Corporate Secretary and Senior Legal Counsel is responsible for liaising with Board directors, leading board material preparation, leading various governance initiatives across the organization, serving as a source of governance expertise to the Board, and leading the independent administrative tribunal process for CPAB, under the oversight of the General Counsel. The role reports to the General Counsel.

What will you be doing?
  • Lead Board material development and preparation including liaising with and advising other members of management and Board members. Take and draft minutes for all Board and Committee meetings.
  • Ensure and facilitate compliance with Board and committee governance requirements and governance best practices across the organization.
  • Lead various governance initiatives across the organization including enterprise policy development and review, and annual governance reporting. Serve as a source of governance expertise to the Board and other members of management and conduct annual governance best practices for benchmarking.
  • Lead the independent administrative tribunal process for CPAB including managing the roster of hearing officers and the hearing process.
  • Provide legal advice and risk management services to all functional areas across the organization including registrations, inspections, IT, human resources, and enforcement.
  • Support the General Counsel in all activities across the organization, including in ethics and privacy matters.
What do you bring to the Role?
  • Law licence and Juris Doctor (J.D.).
  • 7-9 years of legal experience gained in-house. Previous private practice and/or regulatory experience is an asset.
  • Corporate Governance experience, including board of directors’ work is a strong asset.
  • Proficiency in Microsoft Office, Teams and SharePoint.
  • Outstanding communications skills, both verbal and written, with the ability to communicate complex information in a concise and effective way across all levels of the organization.
  • Strong attention to detail and accuracy.
  • Risk management mindset.
  • Excellent team player, with a professional and customer service mindset.
  • Outstanding organization, time, and project management skills.
  • Ability to handle multiple demands and effectively manage conflicting priorities and deadlines.
  • Self-motivated and ability to work autonomously.
  • Has a continuous improvement mindset and is able to make suggestions for improvements to internal processes and practices.

Compensation: $160,000 to $190,000 annually
