The opportunity:
Our SSG (Software Strategy Group) sits within the Execution team, EY’s leading market team providing technology, operations and financial advice to corporate and private equity firms who intend to acquire, divest or restructure businesses. SSG focuses on Product and Technology competency which provides investment and acquisition guidance to clients across product, and technical topics needed to assess and advise companies leveraging their own proprietary software for commercial advantage.
The team provides a unique capability to help companies make critical choices and complete successful transactions.
Your key responsibilities:
- Advising clients across software and tech-enabled services sectors, supporting strategy development and execution for transactions.
- Applying technical knowledge across the M&A transaction lifecycle: pre-deal diligence, portfolio review, and post-deal value creation engagements.
- Conducting product and technology diligence: assessing product capabilities, road maps, software architecture, technical debt, R&D organization, and development processes to help investors understand a software company’s capabilities and risks.
- Leading the analysis approach, coaching team members, conducting qualitative and quantitative investigations, and delivering strategic recommendations to clients.
- Engaging in stakeholder interviews, industry expert consultations, and competitor studies to inform engagement findings.
- Managing and delivering successful programs and engagements, ensuring timely and actionable outcomes.
Skills and attributes for success:
- Leading pre-deal, post-deal, and value creation engagements for private equity clients across North America.
- Senior Managers manage an engagement’s successful execution and lead the engagement team.
- Conducting in-depth interviews with key stakeholders, industry experts, and customers.
- Mentoring, coaching, recruiting, retaining, and training staff.
- Excellent problem solving, project management, facilitation, and interpersonal skills.
- Strong communication and C-suite presence.
- Deep knowledge of technology trends and ability to translate insights into actionable recommendations.
Desirable knowledge and experience:
- Master’s or bachelor’s degree (or equivalent) with outstanding academic performance. Computer science or related field a plus.
- 6+ years of software-related work experience (strategy consulting experience a plus).
- Experience in technology due diligence and/or strategic value creation assignments. AI diligence experience is a plus.
- Program and project management expertise with demonstrable experience managing and delivering successful programs.
- Demonstrable experience of structured methodologies and industry standards for Product Management, UI/UX design principles, Software Architecture, and Software Development Life Cycle methods.
- Ability to analyze and assess software design artifacts such as architecture diagrams, software manifests, and user experience flows.
- Proficient in English, both written and verbal, in a professional environment.
- Report writing skills to convert valuable software-related insights into due diligence reports for consumption by stakeholders.
- Flexible with working locations and a passion for software.
