The opportunity:

As an Assistant General Counsel for Technology and Managed Services you will provide advice, counsel, and legal support in respect of provision of managed services and other technology services to EY clients, focusing on drafting, updating, and negotiating client‑facing agreements, advising on contractual strategy and risk, and collaborating with other GCO groups.

Your

Key Responsibilities

• Drafting, updating and negotiating client‑facing Technology & Managed Services Agreements, including advising on contractual strategy.

• Advising on key legal risks associated with the technology underpinning Managed Services Agreements.

• Collaborating closely with US GCO members and local counsel in other EY member firms.

• Coordinating legal resources on managed‑services projects.

• Supporting coordination with cross‑functional teams (Data Privacy, Talent, Information Security, and Tax).

• Advising on the accuracy and sufficiency of contractual documentation to protect EY interests.

• Understanding existing EY policies and developing/enhancing policies and guidance for managed services.

• Managing workflow in a dynamic environment and maintaining communication with team leadership.

• Building relationships and teaming with GCO members to deliver exceptional service.

• Developing and delivering training on Technology & Managed Services Agreements.

Qualifications

• 8+ years of relevant complex services and technology‑related transactional experience.

• Experience negotiating across client internal counsel, outside law firms, and procurement.

• Experience developing contracting templates, playbooks and standards.

• Experience in data privacy, intellectual property law and technology provision.

• Experience with cross‑border contracting.

• Ability to assess and negotiate terms for current and new technologies (cloud, AI).

• Excellent oral, written, negotiation and interpersonal skills.

• Cultural and emotional intelligence, resilience, flexibility.

• Ability to work independently and with international teams.

• Strong understanding of legal and commercial risk balance.

• High responsiveness to high workload volumes.

• Solution oriented with focus on client service.

• Managed services counsel role in a technology or consulting organization.

• Bachelor’s degree from an accredited college.

• Juris Doctor from an accredited law school.

• Membership in a State Bar and good standing with continuing legal education.
