Role Purpose

The Governance Officer plays a key role in supporting effective governance across the organisation. The role ensures that the Board, Committees, and senior leadership are properly supported, governance processes are robust and compliant, and decision-making aligns with regulatory requirements, best practice, and the organisation’s charitable purpose.

This role acts as a trusted advisor on governance matters, helping to maintain transparency, accountability, and high standards of organisational integrity.

Key Responsibilities
  • Provide end-to-end administrative and governance support to the Board of Trustees and its Committees
  • Prepare and coordinate board and committee meeting agendas, papers, and packs
  • Attend meetings, take accurate minutes, and track actions to completion
  • Support the annual cycle of meetings, including forward planning and governance timetables
Governance & Compliance
  • Ensure the organisation complies with its governing documents, charity law, and relevant regulatory requirements
  • Maintain statutory records, including trustee registers, declarations of interest, and terms of reference
  • Support trustee induction, training, and ongoing development
  • Monitor and advise on governance best practice and sector developments
  • Support the development, review, and implementation of governance-related policies and procedures
  • Maintain a central register of policies and ensure timely review and approval
  • Assist with the organisation’s risk management and assurance processes where appropriate
