Job Summary

We are looking for a talented and business-oriented In-House Counsel to serve as our primary legal advisor. This role will focus on construction law, corporate governance, contract management, risk mitigation, and compliance in the construction industry. You will work closely with executives, project managers, and operations teams to support business objectives while protecting the company's interests.

Key Responsibilities
  • Provide practical, proactive legal counsel on a wide range of construction-related matters, including contract drafting, negotiation, and administration for prime contracts, subcontracts, vendor agreements, joint ventures, and design-build projects
  • Advise on construction-specific issues such as change orders, delays, claims, disputes, mechanics' liens, payment bonds, performance bonds, insurance requirements, and indemnity provisions
  • Handle corporate law matters, including corporate governance, entity formation/maintenance, mergers & acquisitions support, financing transactions, and regulatory compliance
  • Identify and mitigate legal and business risks associated with construction projects, including compliance with federal, state, and local laws (e.g., OSHA, environmental regulations, labor laws, building codes, and procurement rules)
  • Manage and resolve disputes, claims, and litigation; coordinate with outside counsel as needed and oversee external legal engagements to ensure cost-effective outcomes
  • Develop and implement standard contract templates, policies, and procedures to streamline operations and reduce risk
  • Support business development, bidding processes, and project execution by providing timely legal guidance
  • Collaborate cross-functionally with project teams, finance, HR, and leadership to align legal strategy with business goals
  • Stay current on evolving construction law, corporate regulations, and industry best practices
Qualifications & Requirements
  • Juris Doctor (JD) from an accredited law school
  • Active bar admission in good standing (additional states a plus)
  • 5+ years of relevant legal experience, preferably a mix of law firm experience in construction litigation / transactions and in-house or corporate counsel roles
  • Strong knowledge of construction law (e.g., AIA contracts, UCC Article 2, Miller Act, state lien laws) and corporate law (governance, contracts, compliance)
  • Experience negotiating complex construction contracts and handling claims/disputes is highly preferred
  • Business acumen with the ability to provide practical, solution-oriented advice that supports company growth
  • Excellent drafting, negotiation, communication, and analytical skills
  • Ability to manage multiple priorities in a fast-paced construction environment
  • Prior experience in the construction, real estate, or infrastructure industry strongly preferred
