Role DescriptionThis is a full-time, on-site role for a General Counsel, based in Stamford, CT. The General Counsel will oversee all legal affairs of the organization, including providing strategic legal advice, managing labor and employment law matters, ensuring regulatory compliance, addressing data privacy concerns, and advising on corporate governance. The position will collaborate with leadership and stakeholders to mitigate risks and support the company goals through sound legal guidance.
The role will be responsible for the following:
Corporate, Securities & Regulatory Compliance
- Lead the Company’s compliance with federal and state securities laws, including ongoing SEC reporting and disclosure obligations.
- Oversee the preparation, review, and filing of periodic and current reports (e.g., Forms 10-K, 10-Q, 8-K), proxy statements, and other SEC filings.
- Advise senior management on disclosure controls, internal controls, and corporate compliance matters.
- Monitor regulatory developments and assess their impact on the Company’s operations and reporting obligations.
Corporate Governance & Board Advisory
- Serve as a key legal advisor to the Board of Directors and executive leadership on corporate governance, fiduciary duties, and best practices.
- Manage Board and committee matters, including meeting materials, resolutions, charters, and minutes.
- Ensure compliance with corporate governance policies, ethics standards, and applicable listing requirements (if applicable).
- Maintain corporate records and oversee entity management and regulatory filings across the organization.
Corporate Transactions & Strategic Initiatives
- Provide legal leadership on mergers, acquisitions, divestitures, joint ventures, financings, and other strategic transactions.
- Conduct and oversee legal due diligence and manage transaction documentation and negotiations.
- Advise on capital markets transactions, securities offerings, and related regulatory considerations.
- Support strategic partnerships and long-term growth initiatives from a corporate law perspective.
Contracting & Commercial Matters
- Oversee the drafting, review, and negotiation of significant commercial agreements, including vendor, partnership, and real estate-related agreements.
- Develop and implement contract standards and risk-management frameworks aligned with corporate objectives.
- Provide practical, business-oriented legal advice to internal stakeholders.
- Identify and assess legal and regulatory risks affecting the Company, with an emphasis on corporate, securities, and compliance exposure.
- Manage significant litigation and regulatory matters, including coordination with external counsel.
- Support enterprise risk management initiatives and mitigation strategies.
Employment, IP & Regulatory Support
- Provide high-level legal guidance on employment and labor matters in partnership with HR and external counsel.
- Oversee protection and management of the Company’s intellectual property portfolio, including trademarks and branding.
- Ability to manage multiple priorities and provide practical legal solutions
- Juris Doctor (JD) from an accredited law school.
- Active license to practice law in at least one U.S. jurisdiction.
- 7+ years of legal experience, with substantial experience in corporate and securities law, preferably supporting a public company or advising public company clients.
- Demonstrated experience with SEC reporting, disclosure requirements, and corporate governance.
- Experience leading or supporting mergers, acquisitions, and other complex corporate transactions.
- Prior in-house experience and/or large law firm background strongly preferred.
- Strong business judgment with the ability to provide clear, pragmatic legal advice to senior leadership.
- Excellent communication, negotiation, and leadership skills.
- Ability to manage multiple complex matters in a fast-paced, evolving environment.
- Experience in the leisure, sports, or entertainment industry is a plus.
