Position: Private Investment Fund / Investment Management Counsel / Senior Associate
We are seeking a senior associate or counsel with 7+ years of experience in private investment fund formation and investment management. This role involves leading complex fund matters and serving as a key advisor to fund sponsors.

Key Responsibilities

• Lead private investment fund formations, restructurings, and amendments

• Serve as primary advisor to fund sponsors on fund terms, investor negotiations, and regulatory matters

• Draft and negotiate placement memoranda, partnership or operating agreements, subscription agreements, and side letters

• Advise on complex securities law and regulatory issues impacting private funds and investment advisers

• Review and negotiate co-investment arrangements and institutional investor documentation

• Supervise and mentor associates and staff

• Contribute to business development and client relationship management

Skills & Qualifications

• JD from an ABA accredited law school

• 7+ years of experience in private investment fund formation and investment management

• Strong command of fund structures, market terms, and regulatory frameworks

• Excellent drafting, negotiation, and leadership skills

• Ability to independently manage sophisticated matters and client relationships

Finn Dixon is based in Stamford, Connecticut and currently maintains a hybrid work environment with candidates generally expected to be in office at least 2 days per week.
