Exxon Mobil is seeking a corporate governance and securities attorney with a strong interest in shaping this dynamic area of law to join our team in Houston, Texas. The position will focus on a diverse range of corporate governance issues and securities issues before the Securities and Exchange Commission. The ideal candidate will have experience representing public companies on corporate governance issues such as board meetings, annual meetings of shareholders, shareholder proposals, fiduciary duties, and proxy contests, and on SEC reporting and compliance issues such as Form 10-Ks, Form 10-Qs, Form S-3 registration statements, proxy statements, public and private debt offerings, credit facilities, international financings, mergers and acquisitions, and executive compensation.
This role requires strong negotiation skills, expertise in securities law, and a collaborative approach to multidisciplinary work.

What you will do- Provide legal analysis and counsel on securities and corporate governance matters and market developments for Exxon Mobil and its affiliates
- Represent the Company in dealings with third parties on U.S. securities law and state corporation law matters
- Draft, review and negotiate agreements related to securities transactions
- Conduct and coordinate research into a variety of legal issues, ensure compliance with laws, regulations and Company policy, and anticipate and address legal risks and exposures for the Company
- Anticipate and prepare the Company for developments in corporate governance standards and requirements in federal, state, local and foreign jurisdictions
- Participate in preparation and review of comments on proposed SEC and state corporation law regulations
- Work closely with other teams within the Law Department and other functional groups (e.g., treasury, public and government affairs, investor relations, controllers, and human resources)
- Coordinate with and oversee outside counsel to ensure proper handling of matters where counsel is retained
- Minimum of three (3) years of relevant legal experience, at least partially with a major law firm, corporate legal department, or government agency
- J.D. from an accredited law school
