Private Equity Tax Director

Our client, a highly regarded private equity firm, is seeking a seasoned tax leader to join its finance organization. This individual will act as the internal authority on all tax matters across the management company, investment funds, and portfolio investments. The role blends hands‑on technical oversight with strategic advisory responsibilities and will partner closely with executive leadership and deal teams.

• Serve as the primary tax advisor to firm leadership and finance
• Drive tax‑efficient structuring for funds and investments
• Advise on fund formation, capital raising activities, and carried interest matters
• Evaluate evolving tax legislation and its impact on operations and structures
• Maintain oversight of tax calendars, documentation, and compliance frameworks

• Direct all federal, state, and local tax compliance activities for partnerships, LLCs, and corporate entities
• Review and manage preparation of returns for the management company, funds, and underlying portfolio entities
• Oversee K‑1 preparation and related investor reporting
• Coordinate with external accounting firms and ensure timely, accurate filings across jurisdictions
• Monitor regulatory changes and maintain adherence to IRS and state requirements

• Partner with investment professionals during acquisitions and exits
• Lead tax due diligence efforts and evaluate structuring considerations
• Assess tax risks and identify value‑enhancing opportunities in deal execution
• Work alongside outside advisors on complex transaction modeling
• Support negotiation of tax provisions within purchase and sale agreements
• Provide guidance to portfolio finance teams on tax matters
• Review key tax positions and strategies across portfolio companies
• Identify post‑acquisition tax planning opportunities
• Coordinate audits, controversy matters, and dispute resolution with third‑party advisors

• Bachelor’s degree in Accounting, Finance, or related discipline
• CPA strongly preferred
• 8+ years of progressive tax experience
• Background in private equity, investment management, or Big 4 public accounting highly desirable
• Deep knowledge of partnership taxation and multi‑entity investment structures
• Experience supporting M&A transactions and tax due diligence
• Familiarity with carried interest and incentive allocation structures
• Demonstrated ability to interpret complex tax code and technical guidance
• Skilled at translating technical tax matters into practical business insights
• Strong organizational discipline and attention to detail
• Comfortable leading cross‑functional efforts and managing outside advisors
• High level of discretion when handling sensitive financial information
• Proficiency in Microsoft Excel, Word, and Power Point
