Overview
We are seeking a mid-level Corporate Counsel with over 5 years of transaction experience to support a wide range of transactional legal matters, including commercial contracts, corporate governance, and general business operations. This role will work closely with MOBIS’s other departments to draft, review, and negotiate agreements, support business initiatives, and provide practical legal guidance to enable efficient and compliant operations.
The ideal candidate will have strong transactional skills and experience supporting corporate activities, including familiarity with entity-related filings and processes. This position offers the opportunity to contribute to strategic and day-to-day legal needs while helping shape the company’s operational and transactional frameworks. This job position is a part of MOBIS Corporate Center America (MCCA), and it is located in Atlanta, GA.
To perform within this position successfully, the incumbent must be able to perform each essential duty satisfactorily. Other duties may be assigned.
Transactional & Commercial Support
- Draft, review, and negotiate a wide range of commercial agreements, including supplier agreements, customer contracts, service agreements, consulting agreements, technology licensing, NDAs, MOUs, and other business-critical documents.
- Provide practical legal advice that balances legal risk with operational goals for various business units including procurement, sales, operations, HR, and finance.
- Support transactional projects such as new business initiatives, cross-functional collaborations, and internal process improvements.
- Ensure that contract terms align with corporate policies, risk tolerance, and strategic objectives.
Contract Review & Lifecycle Management
- Manage the end-to-end contract lifecycle, from intake/initial request through drafting, negotiating, execution, renewal, and termination.
- Maintain and improve the contract management system, ensuring all documents are logged, categorized, and stored properly.
- Track key deadlines, renewal dates, and obligations; coordinate with business stakeholders to ensure ongoing compliance.
- Develop and update contract templates and fallback language to increase efficiency and consistency across the organization.
- Train internal teams on contract processes, policies, and best practices.
Entity Management
- Manage legal processes for formation, registration, and dissolution of U.S. entities.
- Maintain corporate records, minutes, and ensure compliance with state filing requirements.
- Coordinate with tax, finance, and business terms for entity governance.
Corporate Governance & Business Operations Support
- Assist with drafting resolutions, maintaining corporate records, and supporting periodic governance tasks.
- Conduct legal research related to corporate and transactional issues, and provide concise, business-friendly summaries.
- Support operational teams with general corporate legal questions, including contract interpretation, policy application, and risk management strategies.
Supervisory Responsibilities
:
Yes, may oversee Paralegal and/or Legal Assistant or external legal service providers.

Required
Education & Experience:
- D. degree from an accredited law school
- Active bar membership in at least one U.S. Jurisdiction
- Minimum 5 years of experience in corporate, compliance, litigation or regulatory laws as in-house counsel or law firms
- Experience in the automotive or manufacturing industry preferred
Required Knowledge, Skills, & Abilities:
- Strong understanding of contract law, commercial transactions, and corporate governance principles.
- Strong drafting, negotiation, and analytical skills, particularly in commercial agreements.
- Familiarity with entity-related processes such as business formation, state filings, annual reporting, or dissolution activities.
- Ability to manage multiple projects simultaneously in a fast-paced environment.
- Excellent verbal and written communication skills, with the ability to convey legal concepts clearly and practically.
- Experience in working cross-functionally with various internal departments.
- High level of organization and attention to detail.
- Strong understanding of corporate governance, compliance regulations and litigation processes.
- Excellent legal research, negotiation, and problem-solving skills.
- Ability to use or learn contract management tools and legal operations systems.
- Willing to collaborate, share knowledge, respond quickly to urgent matters, and execute proactively.
- Ability to understand and embrace the company's core values, corporate goals, mission, and priorities.
- Ability to work independently and as part of a team in a fast-paced environment.
Certificates, Licenses, and Registrations:
- U.S State bar license required.
- Compliance-related certifications (e.g., CCEP) preferred.
