Role Description

Mag Stone Law is seeking a talented and motivated associate attorney with at least two years of experience in U.S. venture capital, mergers and acquisitions, and general corporate practice, or comparable experience at a leading non-U.S. law firm focusing on venture capital and M&A matters. The ideal candidate will possess strong transactional experience, sound judgment, and the ability to manage complex client matters independently, while working collaboratively with our partners and associates.

Responsibilities
  • Draft, review, and negotiate a wide range of corporate and transactional documents, including financing documents, stock purchase agreements, SAFE/convertible notes, and M&A transaction documents.
  • Advise emerging growth companies and investors throughout their lifecycle—from formation to financing and exit.
  • Conduct legal due diligence for M&A and venture capital transactions.
  • Advise on corporate compliance matters and draft, review, and negotiate various commercial contracts.
  • Provide practical and strategic advice to clients on corporate structure, capitalization, and compliance matters.
  • Collaborate with partners and clients to deliver efficient, business-focused legal solutions.
Qualifications
  • Minimum 2 years of experience in U.S. venture capital, M&A, and general corporate practice at a reputable law firm or comparable experience in non-U.S. venture capital and M&A field.
  • Bilingual in English and Chinese is preferred.
  • J.D. or L.L.M from an accredited U.S. law school.
  • Licensed to practice law in the United States.
  • Strong drafting, negotiation, and communication skills.
  • Ability to manage multiple projects with attention to detail and deadlines.
  • Entrepreneurial mindset and interest in working with startups, investors, and cross-border transactions.
