Commercial Counsel

The Commercial Counsel will provide practical, business-focused legal advice on a broad range of technology-focused commercial transactions. Reporting to the General Counsel, this role will be deeply involved in drafting, negotiating, and advising on vendor agreements, SaaS contracts, licensing arrangements, partnerships, and other commercial agreements.

• Provide legal advice to management and leadership on commercial, operational, and strategic matters.
• Draft, review, and negotiate a wide array of technology-focused commercial agreements, including vendor contracts, SaaS agreements, licensing arrangements, and partnerships.
• Collaborate with internal teams on business initiatives, supporting growth, strategic partnerships, and new product launches.
• Identify, assess, and communicate legal risks, offering practical and commercially-oriented solutions.
• Support corporate governance, compliance, and enterprise risk management initiatives as needed.
• Manage external counsel relationships for specialized legal matters.

• Law degree from an accredited law school and admission to a U.S. state bar in good standing.
• 4–7 years of experience practicing law at a law firm and/or in-house, with a focus on technology transactions and commercial agreements.
• Demonstrated experience drafting and negotiating commercial contracts, including vendor agreements, SaaS agreements, licensing arrangements, and partnerships.
• Strong analytical skills with the ability to provide practical, business-focused legal advice.
• Experience advising high-growth technology companies or working in dynamic, fast-paced environments is highly valued.
• Excellent interpersonal, organizational, and communication skills.
• Ability to manage multiple projects and competing priorities.
• Fluency in English.
