Overview
Okta is looking for a seasoned, pragmatic leader with a strong history of successful team management to lead the Corporate Securities and Governance function. This position will report to the Deputy General Counsel & Chief Compliance Officer and lead a team of experienced professionals supporting Okta’s corporate governance, strategic transaction and stock administration activities. This leader will provide practical, business-focused advice and solutions to complex business challenges in a dynamic, high-growth environment working closely with Okta’s Finance (Accounting, Investor Relations, FP&A, Tax and Treasury), Public Relations/Communications, Marketing, Real Estate and HR teams.
This role will serve as a trusted advisor to Okta’s executives and the Board of Directors, providing guidance on effective governance practices across a range of issues.
What You’ll Be Doing
• Oversee SEC reporting and compliance matters, including 10-K, 10-Q, 8-K, Section 16, and Section 13 filings, earnings releases and investor presentations.
• Oversee preparation of all aspects of proxy statement and annual meeting planning and logistics.
• Oversee insider trading compliance program, including managing trading windows, 10b5-1 plans and pre-clearances and advising S16 insiders on a broad range of issues.
• Lead governance matters, including advising on Delaware corporate law, charter and bylaw provisions, committee charters, governance policies, independence and related party transactions matters, policy updates and training initiatives.
• Oversee board of directors and board committee processes, including preparation of board and committee materials and meeting minutes and annual governance calendar.
• Oversee global subsidiary and entity governance.
• Advise and work closely with a variety of key stakeholders across Okta, including Finance, HR, Investor Relations, Communications, Marketing, Tax and Treasury on a range of strategic issues.
• Coordinate with and provide legal support to the Corporate Development team, including on M&A, strategic transactions, and Okta Ventures activities.
• Oversee corporate budget including outside counsel and third-party spend.
• Actively manage, support and elevate a high-performing team of legal professionals.
• Coordinate with legal team leaders on various initiatives as required.
What You’ll Bring To
The Role
• J.D. degree, 15+ years of relevant legal experience, including at a top firm and at least 6+ years in-house at a public company.
• 8+ years of direct people management experience, preferably leading large teams.
• Proven ability to build and scale a corporate legal team.
• Deep expertise in ’34 Act reporting, Section 16 compliance, Rule 10b5-1 plans and public company corporate governance best practices.
• Experience advising boards and executives in a high-growth, global environment.
• Ability to translate complex governance requirements into practical business solutions.
• Team-first attitude and impeccable ethics and integrity.
