Overview

Job Title – Corporate Transactional Paralegal

Company Location – Any California Office

On-site, Full Time, Hybrid 3 Days Per Week

Salary Range: $150k-175k

Responsibilities
  • Lead and manage due diligence activities including conducting UCC, litigation, and intellectual property searches, and reviewing results.
  • Oversee corporate governance and entity management functions, from preparing and filing documents for entity formation and amendments to ensuring compliance with regulations such as the Corporate Transparency Act.
  • Administer entity and stock records on platforms such as Carta, Fidelity, and Global Shares.
  • Support securities and Blue-Sky filings, assist with securities registration, and manage documentation for equity transactions.
  • Coordinate all aspects of closing processes, including preparing collateral descriptions, UCC filings, execution of closing documents, and post-closing administration.
  • Collaborate closely with internal teams and external vendors, maintaining strict confidentiality and adherence to firm standards.
  • Conducting due diligence, managing closing processes, and collaborating with external vendors to ensure efficient and accurate transaction handling.
  • Must be available and able to work during core business hours as well as overtime as needed.
  • Handles multiple projects, often in a fast-paced, high-pressure environment, requiring prioritization and flexibility.
Qualifications
  • A minimum of 8-10 years of transactional paralegal experience in a law firm or in-house counsel.
  • A bachelors degree or some college is preferred.
  • An ABA-approved paralegal certification is required.
  • Billing requirement of 1600 hours per year.
  • Strong project management skills with the ability to independently oversee tasks, ensuring timely completion and adherence to project deadlines.
  • Able to manage various projects with shifting priorities while working in a fast-paced environment.
  • Experience with diligence search parameters.
  • Knowledge and experience with vendor UCC filing platforms and e-filing.
  • Excellent spelling, grammar, and punctuation skills.
  • Ability to work overtime, evenings, and weekends, as needed.
  • Must have proficiency in Windows 10, Microsoft Outlook, Excel, PowerPoint, Adobe Acrobat Professional, Zoom, and Teams.
  • Travel up to 10% may be required.
