Source Pro Search is conducting a search for an experienced Corporate Paralegal to join a top-rated international law firm in San Francisco. Candidates need at least 5 years of recent experience at a large law firm.
What You’ll Bring :- General corporate work, including entity formation; drafting board and stockholder consents and meeting minutes; generating stock certificates; drafting documents for amendments, withdrawals, mergers, and dissolutions of corporations, partnerships, and LLCs; familiarity with Docu Sign; and proficiency in Carta and other cap table management tools.
- Equity financings, encompassing LLC financings, venture capital financings, and proficiency in preparing and coordinating securities filings, such as Form , Form D, and state blue sky filings.
- Mergers and acquisitions, including: overseeing data rooms and coordinating due diligence; creating and maintaining closing checklists; drafting board and stockholder consents; and managing signings and closings.
- Experience in secured financing transactions and UCC filings is advantageous, though not a strict requirement.
- Successful candidates should boast exceptional academic credentials, excellent drafting, writing, and analytical skills, meticulous attention to detail, a high level of organizational aptitude, the ability to manage multiple projects concurrently, and strong verbal and interpersonal communication skills.
