The Role
We’re looking for an experienced tax professional to support Goodfin’s private investment vehicles, with primary responsibility for SPV tax structuring, K-1 oversight, and QSBS analysis. This role will start as a consulting or part-time engagement, with the opportunity to transition into an in-house role as Goodfin scales and the scope deepens. You’ll work closely with operations, product, and external providers as needed to ensure our tax posture is sound and our investor reporting is clear and correct.
You’ll Do
- Advise on tax structuring of SPVs (partnerships, LLCs, blockers where applicable)
- Review and validate K-1s prepared by our tech, fund administrators or external CPAs
- Ensure tax allocations align with economics, operating agreements, and waterfalls
- Lead QSBS analysis at the company, deal and SPV level, including eligibility, holding periods, and documentation
- Support investor-facing tax questions related to their investments or QSBS, rollovers, and exits
- Coordinate with legal counsel and other partners as needed on structuring decisions that impact tax outcomes
- Identify tax risks, edge cases, and opportunities as deal volume increases
- Help build scalable tax processes and internal documentation
- 5+ years of experience in partnership tax, fund tax, or private investment tax
- Deep expertise in SPVs, partnership allocations, and K-1 reporting
- Demonstrated experience with QSBS (Section 1202) analysis and structuring
- Experience preparing and reviewing K-1s
- Strong judgment and ability to explain complex tax concepts clearly
- High attention to detail and comfort operating independently
- Comfort working cross functionally with business and product teams
- Bonus: experience working at a startup or with building technical product and being product-minded
- Initial consulting or part-time engagement tied to deal flow and tax cycles
- Opportunity to grow into a fractional or full-time in-house tax role
