Realty Income is looking for a Vice President, Corporate Securities Legal Counsel to join our in-house legal team. In this role, you will support and report to the company’s Senior Vice President, Associate General Counsel, & Assistant Secretary. This role will work autonomously and independently for matters within its purview and provides operational support for the Company’s corporate function. You will work closely with the Company’s Investor Relations, Sustainability Department, Environmental, Social, and Governance Reporting Taskforce, and the Accounting Department with the preparation and review of domestic and international sustainability, regulatory and other filings and disclosures.
The role is a primary resource for the Company’s Corporate Paralegal providing U.S. corporate secretary support.
ResponsibilitiesCorporate and Securities Matters
- Assist with the Company’s U.S. Securities and Exchange Commission reporting and listing requirements as well as oversight of all Section 16 filings and the annual meeting process.
- Provide and manage the legal and compliance review of the Company’s website, social media campaigns, press releases and other similar disclosures.
- Horizon scanning of the changing regulatory landscape that may impact the Company’s other U.S. SEC filings and NYSE listing requirements.
- Support the Senior Vice President, Associate General Counsel and Assistant Secretary with Board and governance related matters including with the preparation of materials, special projects, research and other matters as may arise including at the request of the Board and its committees.
- Support the U.S. Corporate Secretary function, including oversight of U.S. entity management, oversight of the accuracy of the Company’s entity management database, coordination with corporate paralegal regarding the same, and assisting with KYC, due diligence, and other similar requests.
- Collaborate with the Corporate Finance team with respect to the Company’s capital market activities including hedging and other derivative transactions.
- Support the Senior Vice President, Associate General Counsel and Assistant Secretary with various corporate initiatives and transactions as they may arise including with respect to mergers and acquisitions, joint ventures, and other transactions.
- Help maintain and establish desktop procedures, templates, checklists, and documents for the corporate legal department.
- Support efforts to enhance efficiency within the broader legal department as well as the corporate legal department by streamlining workflow, utilizing technology, and identifying process improvements.
Sustainability Reporting
- Provide and manage the legal and compliance review and assist in the preparation and filing of domestic and international sustainability regulatory filings, disclosures, and other initiatives.
- Independently collaborate with internal and external teams in the preparation and review of such disclosures.
- Horizon scanning of the changing regulatory landscape that may impact the Company’s global sustainability filings and disclosures.
Leadership
- Be a proactive leader that can demonstrate the ability to work independently and autonomously.
- Provide direction and support to corporate paralegal(s), fostering a collegial and professional environment focused on accuracy, efficiency, and development.
- Be professional, courteous, team player as well as a company leader and be able to communicate and collaborate well with other Realty Income team members and other legal team members.
- Develop, oversee, and monitor applicable budget(s).
What you need to be successful:
- Juris Doctorate law degree from an accredited U.S. law school with strong academic credentials.
- Active membership in good standing in the State Bar of one’s state of employment.
