Position: Corporate Paralegal - Downtown

Overview

Adams & Martin Group is partnering with a highly regarded AM200 law firm located in the heart of downtown San Diego. The firm is seeking an experienced Corporate Paralegal to join its growing team. Candidates must have a minimum of 5 years of corporate transactional experience to be considered. This position offers an outstanding opportunity for a detail‑oriented, proactive professional with strong corporate and transactional expertise who excels in a collaborative, fast‑paced environment.

Responsibilities
  • Prepare and file entity formations, foreign qualifications, amendments, and dissolutions, while maintaining corporate records, minute books, capitalization tables, and entity‑management systems.
  • Draft, review, and organize corporate governance documents, agreements, consents, resolutions, and other core transactional materials.
  • Support M&A, financings, and other corporate transactions by conducting due diligence, managing data rooms, and coordinating all phases of the closing process.
  • Prepare and manage signature packets, closing checklists, closing binders, and post‑closing deliverables, while effectively communicating with clients, internal teams, vendors, and service providers.
  • Assist attorneys with ongoing corporate governance, compliance matters, and transactional projects; 1450 billable‑hour requirement.
  • SEC filing experience
  • Hands‑on experience with corporate formations, including LLCs
