Cohu is seeking a highly skilled Commercial Contracts Attorney to join our legal team. This role will focus on drafting, reviewing, and negotiating a wide range of commercial agreements, including hardware purchase agreements, software licensing agreements, and related technology contracts. The attorney will also manage Open Source Software (OSS) compliance across the organization, ensuring adherence to applicable terms and conditions.
Key Responsibilities- Draft, review, and negotiate commercial contracts, including:
- Capital equipment purchase and supply agreements
- Software license agreements (on‑premise and SaaS)
- Professional services agreements
- Maintenance and support agreements
- Advise internal stakeholders on contract terms, risk mitigation, and compliance requirements.
- Develop and maintain contract templates and playbooks to ensure consistency and efficiency.
- Oversee Open‑Source Software (OSS) compliance program, including:
- Reviewing OSS usage in products and services
- Ensuring adherence to license obligations and reporting requirements
- Training engineering and product teams on OSS policies
- Collaborate with sales, procurement, engineering, HR, and finance teams to support business objectives.
- Monitor changes in laws and regulations affecting commercial transactions and OSS compliance.
- Support dispute resolution and enforcement of contractual rights when necessary.
Strong knowledge of:
- Hardware procurement agreements
- Software licensing models (including SaaS and cloud‑based solutions)
- OSS licensing frameworks (GPL, LGPL, MIT, Apache, etc.)
- Excellent negotiation, drafting, and communication skills.
- Ability to manage multiple priorities in a fast‑paced environment.
- Experience working with cross‑functional teams and global operations is a plus.
- Familiarity with export control regulations and data privacy laws.
- Experience with contract lifecycle management tools.
- Strong analytical and problem‑solving abilities.
- Juris Doctor (JD) degree from an accredited law school; licensed to practice in California or eligible for in‑house counsel registration.
- 5+ years of experience in commercial transactions, preferably in technology or manufacturing industries.
Office environment. Ability to sit for prolonged periods at desk, use computer equipment, minimal exertion.
