The opportunity

As Counsel for Technology and Managed Services, you will provide advice, counsel, and legal support in respect of managed services and other technology services and products to EY clients. Your focus will be on advising, drafting, updating and negotiating client‑facing contracts for managed services, outsourcing, systems implementation, application development & maintenance, software licenses and SaaS agreements, AI, big data, analytics, cloud computing, and related technology agreements.

You will work closely with other GCO groups in the United States and across jurisdictions. The role requires experience in a supplier‑side technology and outsourcing transactional legal position, strong knowledge of current and emerging technologies, and the ability to manage multiple competing priorities in a compressed timeframe.

Key Responsibilities
  • Draft, update, and negotiate client‑facing Technology & Managed Services Agreements; advise on contractual strategy, risk, and keep up to date with relevant legal developments.
  • Assess key legal risks associated with the technology underpinning Managed Services Agreements.
  • Collaborate closely with other US GCO members and local counsel in EY member firms.
  • Coordinate legal resources on managed services projects.
  • Coordinate with cross‑functional business and internal support teams (Data Privacy, Talent, Information Security, and Tax) as appropriate.
  • Ensure contractual documentation accurately protects EY interests.
  • Develop and enhance EY policies and guidance relevant to managed services and other technology services.
  • Manage workflow in a highly dynamic environment; remain responsive, reliable, communicative, and accountable.
  • Build relationships and collaborate seamlessly with other GCO members and Legal Practice Groups to deliver exceptional service to GCO clients.
  • Develop and deliver training on Technology & Managed Services Agreements, knowledge sharing, and best practice across the legal network and business.
Qualifications
  • 4+ years of complex services and technology‑related transactional experience in a client‑facing capacity, including drafting and negotiation of Technology & Managed Services Agreements.
  • Experience developing contracting templates, playbooks, and standards.
  • Experience in data privacy, intellectual property law, and the use of technology in such agreements.
  • Experience with cross‑border contracting, including employee matters and data transfer laws.
  • Ability to understand, assess, and negotiate terms for current and new technologies (cloud, AI) and explain related legal and business risks.
  • Excellent oral and written communication skills.
  • Strong negotiation and interpersonal skills.
  • High cultural and emotional intelligence, resilience, flexibility, and adaptability.
  • Ability to work independently and team effectively with colleagues in other functions and geographic locations.
  • Ability to grasp, understand, and articulate complex legal and contractual principles, balancing risk from both legal and commercial perspectives.
  • Highly responsive with the ability to manage high workload volumes and competing priorities efficiently.
  • Solution‑oriented with focus on exceptional client service.
  • Managed services counsel experience in a technology or consulting organization with experience leading negotiations.
  • Bachelor’s degree from an accredited 4‑year college.
  • Juris Doctor from an accredited law school.
  • Membership in a State Bar; good standing, current on continuing legal education requirements.
