Committee Governance :
- Support all activities related to the RBC Bank Risk Management Governance Framework reporting and oversight, including the management committees that have been established to facilitate management's and Board of Directors' oversight of the RBC Bank Risk Management Framework.
- Support in preparing committee meeting books (including agendas, forward agendas, and action item lists).
- Schedule committee meetings and related working groups and / or forums.
- Support the preparation and distribution of minutes for meetings of the management committees.
- Track when management committee mandates are due for annual review and follow with the committee Chair and Secretary to ensure the approval is obtained timely.
- Supports Regulatory Relations in providing documents requested for examinations and other matters.
- Uploads all management committee meeting materials and approved meeting minutes to the OCC through the Bank Net website.
- Support in execution of action items, designated projects and initiatives under the oversight of the various management committees, and as deemed necessary and requested by the CEO, CRO and CCO.
- Support with committee membership and management training related to execution of the risk governance framework and any other requests as deemed necessary by the CEO, CRO and CCO.
- Support in drafting of CEO, CRO and CCO communications related to the risk governance framework and related activities.
- Serve as liaison to the SGO in communicating with the RBC Bank Senior Management Team on Board and Board Committee agendas, action items, director education sessions, and other materials as needed. Provide all management reports going to the Board and Board Committees to the SGO to be included in the meeting materials.
- Ensure the list of RBC Bank non-Executive Officers is current. Coordinate with Senior Management Team to ensure employees are added to or removed from the list as needed and the list is approved as needed by the RBC Bank Board.
- Provide general corporate governance advice and support, as designated by the CEO, CRO and CCO.
- Execute all responsibilities in conformity with prescribed deadlines and in compliance with all legal, regulatory and tax requirements as well as RBC policies and delegated authorities.
- Provide oversight of and ensure data integrity of management committee records.
Enterprise Risk Management Activities :
- Oversee and maintain Inventory of all Risk Issues and ensure all Actions are fully documented, sustainable and completed on time.
- Oversee and maintain Inventory of RBC Bank Risk metrics and ensure annual review of each takes place. This review will include documented Second Line of Defense oversight and challenge.
- Perform Second Line of Defense review of high and medium risk Issues prior to closure. This review will include documented Second Line of Defense oversight and challenge.
- Review / provide reporting related to open Issues and assist in the facilitation of the Bank's Issue tracking monthly meetings.
- Track all activities related to RBC Bank escalation requirements and report on each as needed.
- Assists with preparation of regular and ad hoc reporting for the bank and regulators.
- Develop strong partnership with business leads to gain an understanding of underlying business drivers and issues that affect the bank's risk profile.
Job Summary
The RBC Bank Management Committee Governance Officer will support the RBC Bank CEO, CRO and CCO in the oversight of the RBC Bank governance framework, in particular the management committees that provide the forums for discussion and reporting of risk management activities and governance to senior and executive management, and the RBC Bank Board of Directors. In addition, this role will oversee specific issues management related activities across the bank to ensure completeness and timeliness and to also ensure that enterprise and local regulatory requirements are met.
