VP Legal and Compliance

Position Location:

Raleigh, NC. Hybrid role. Must live local.

Job Summary

The VP of Legal and Compliance leads and participates in the development of the overall legal and compliance strategy for the Credit Union, including, but not limited to: recommending, implementing and administering Credit Union policies and procedures; drafting, reviewing and negotiating software licenses and vendor contracts and ensuring business units' compliance with applicable laws and regulations. This role is key in identifying, assessing and advising management on the mitigation of various legal and reputational risks that may arise during the implementation of existing as well as new Credit Union strategic goals and initiatives.

The VP of Legal and Compliance will also oversee the vendor management function.

Responsibilities
  • 35% Oversee and assist the vendor management process by negotiating contracts and ensuring proper due diligence is being completed. Draft, review and negotiate transactional documents, including contracts for service, settlement agreements and licensing agreements, among others.
  • 25% Analyze developing trends and changes in regulatory compliance laws, rules and regulations to assist in the determination of operational impacts and the development of implementation plans. Review and recommend to CRO & General Counsel best practices, solutions and changes that help further Credit Union goals and mitigate legal and reputational risks to its strategic initiatives.
  • 20% Provide legal and compliance guidance to other departments within the credit union. Build relationships and collaborate with departments to assess the implications resulting from changes made to policies, processes and procedures. Identify issues and provide counsel to departments on legal, regulatory, and information security issues.
  • 10% Ensure organizational bylaws, policies and procedures, and other matters related to corporate governance comply with applicable federal and state regulations and laws and provide recommendations for any necessary changes.
  • 10% Draft, review and negotiate other legal documents as needed by the credit union. These types of documents could include member-facing agreements, purchase agreements, leases, court documents, HR related agreements, and others as needed.
  • This role oversees the vendor manager, compliance specialists, and procurement specialists.
Qualifications

Experience:

  • Licensed to practice law in the State of North Carolina, with at least seven years of related legal experience in a law firm, business or non-profit organization and four years of leadership experience

Education:

  • Juris Doctorate degree from an accredited law school and licensed to practice law in the State of North Carolina
