We are currently partnering with a leading, tech-focused corporate law firm in Raleigh, North Carolina seeking a mid-level Corporate Associate to join their elite Emerging Companies & Venture Capital (ECVC) practice.
This firm is the go-to counsel for high-growth technology and life sciences companies, as well as the VC and angel investors who fund them. If you are looking to move away from a traditional "Big Law" grind and into a more strategic, hands-on role where you serve as a true partner to innovators, this is the seat for you.
The Work
As a key member of a lean, high-performing team, you will handle sophisticated matters including:
- Venture Financings: Leading issuances of preferred stock and convertible securities.
- M&A: Managing mid-market mergers, acquisitions, and comprehensive due diligence.
- Outside General Counsel: Providing day-to-day strategic counseling, contract review, and board governance.
- Equity Management: Managing cap tables (Carta), waterfalls, and pro formas for high-growth startups.
Candidate Requirements
- 3–6 years of corporate transactional experience (M&A or ECVC preferred).
- JD from a high-caliber law school with strong academic credentials.
- A genuine passion for the innovation economy and working with entrepreneurs.
- North Carolina Bar license (or the immediate ability to waive in).
