Description

The Ralliant Law & Compliance team seeks a Senior Corporate Counsel to support Ralliant’s operating subsidiary, Pacific Scientific Energetic Materials Company LLC (Pac Sci), with all commercial legal needs. This role focuses on advising the business on government contracting and regulatory compliance, reviewing and negotiating contract terms (particularly U.S. government defense subcontracts), managing disputes with customers and suppliers, and collaborating closely with cross‑functional teams to advance the business and mitigate associated risk.

Responsibilities
  • Draft, review, and negotiate a wide range of legal agreements, including U.S. government prime and subcontracts, procurement contracts, sales agreements, and non‑disclosure agreements.
  • Support government contract‑related compliance initiatives, including investigations and audits.
  • Contribute to legal innovation initiatives, such as developing templates, playbooks, and process improvements using automated tools.
  • Serve as a business partner to other functions, translating detailed regulations and contract requirements into clear, actionable guidance.
  • Partner with cross‑functional teams to resolve legal issues and support achievement of strategic business objectives.
  • Maintain and update legal operations systems to track contract workflows and compliance documentation.
  • Provide training and guidance on government contracting principles, regulatory compliance matters, and legal best practices.
  • Collaborate with the Commercial & International legal team to ensure a consistent global and organizational approach to legal issues.
  • Monitor and interpret changes in government contracting laws and regulations, advising stakeholders on potential impacts.
  • Assist with other legal matters as assigned, including customer or supplier disputes and strategic transactions.
Minimum Qualifications
  • JD from an accredited law school.
  • Active bar membership in good standing, with ability to obtain in‑house counsel admission where located if required.
  • Minimum of 4 years’ experience in a legal department or law firm, focusing on government contracts, corporate and commercial transactions.
  • Familiarity with the Federal Acquisition Regulation (FAR) and Defense Federal Acquisition Regulation Supplement (DFARS).
  • Experience supporting U.S. government contractors, ideally in defense and aerospace sectors.
  • Unquestionable integrity and excellent judgment.
  • Exceptional written and verbal communication skills, able to advise across all levels and communicate complex information understandably.
  • Self‑motivated with ability to work independently while exercising judgment.
  • Strong organizational and time‑management skills, able to prioritize multiple complex matters in a fast‑paced environment.
  • Customer‑focused and continuous‑improvement mindset.
  • Positive attitude and willingness to learn and expand into broader legal areas.
  • U.S. citizenship required due to government contractual requirements.
Preferred Qualifications
  • Deep understanding of FAR/DFARS.
  • Familiarity with UCC Article 2/2A, Incoterms, and commercial contracting.
  • Experience with contract lifecycle management (CLM) tools, SharePoint, and AI‑based contract review platforms.
  • Demonstrated interest and aptitude in process improvement, template and playbook development.
  • Experience with ATF regulations, DCSA facility clearance, export controls (ITAR/EAR), and CMMC implementation.
