Overview

A well-established Massachusetts law firm is seeking an Associate Attorney with 3–5 years of experience in mergers & acquisitions and general corporate law to join its growing corporate practice. This opportunity is ideal for an attorney who wants meaningful responsibility, direct client exposure, and hands-on deal work within a collaborative, business-focused environment.

• Represent buyers and sellers in middle-market M&A transactions, including asset and stock deals
• Draft, review, and negotiate transaction documents such as purchase agreements, operating agreements, shareholder agreements, and related closing documents
• Conduct and manage legal due diligence for M&A and corporate transactions
• Advise closely held businesses on entity formation, governance, restructuring, and ongoing corporate matters
• Support financing transactions, including reviewing loan and security documents
• Work closely with partners and other practice groups to deliver practical, client-focused legal solutions

• J.D. from an accredited law school
• 3–5 years of experience in M&A and corporate law (law firm or in-house)
• Strong drafting, negotiation, and analytical skills
• Experience with closely held businesses and middle-market transactions preferred
• Ability to manage multiple matters independently and meet deadlines
• Licensed in Massachusetts or eligible for admission
