Overview & Responsibilities

Republic Finance is seeking a highly skilled, pragmatic Corporate Contracts Attorney to work in a fast-paced environment for a rapidly growing financial services company. The ideal candidate will have a strong background in contract law, exceptional negotiation skills, and a proven ability to provide strategic legal advice to support our operational objectives. As a Corporate Contracts Attorney, you will be responsible for drafting, reviewing, and negotiating a wide range of contracts, including debt financing agreements, vendor agreements, licensing agreements, service agreements, and other commercial contracts.

In this role, you will have the opportunity to work closely with senior executives in Finance, Risk, IT and Operations to ensure that contracts align with business goals and comply with legal requirements.

Job responsibilities are as follows:

  • Draft, review, and negotiate a variety of corporate contracts, ensuring that they accurately reflect the company's interests and comply with legal requirements.
  • Conduct and review vendor diligence to determine whether vendors meet company standards.
  • Collaborate with internal departments to understand business needs and provide strategic legal advice.
  • Identify and mitigate legal risks associated with contracts and business activities and develop strategies to minimize exposure.
  • Maintain and update contract templates, policies, and procedures to ensure compliance with relevant laws and regulations.
  • Stay current on changes in relevant laws and regulations and ensure that the company's contract practices remain up-to-date and compliant.
  • Collaborate with external legal counsel as necessary to address complex legal issues or escalate matters when appropriate.
Requirements
  • Juris Doctor (J.D.) degree from an accredited law school and active membership in good standing with a state bar.
  • 4+ years of experience practicing corporate law, with a focus on contract drafting and negotiation.
  • Strong knowledge of contract law principles and experience drafting and negotiating a variety of commercial contracts;
    Experience with debt financing agreements, including securitization transactions and other secured financing, as well as vendor risk and analytics contracts.
  • Excellent communication and interpersonal skills, with the ability to effectively communicate complex legal concepts to non-legal stakeholders.
  • Proven ability to work independently and collaboratively in a fast-paced environment, managing multiple priorities and deadlines.
  • Strong analytical and problem-solving skills, with keen attention to detail.
  • Experience working in a corporate legal department or law firm with a focus on corporate clients preferred.
