About the Role

We’re looking for a Corporate Paralegal to support Pre Pass’s Legal & Compliance department by performing a broad range of corporate governance, contract management, and compliance-related responsibilities. In this role, you’ll work closely with attorneys, business stakeholders, and external partners to support both day-to-day legal operations and strategic initiatives across the organization. This position plays a critical role in ensuring corporate records are maintained accurately, contracts are processed efficiently, and the company remains compliant with applicable legal, regulatory, and internal policy requirements.

This role operates in a hybrid work environment with in-office collaboration expected at the Phoenix headquarters. The position may be fully remote for the right candidate, with periodic travel to the corporate headquarters based on an agreed-upon cadence.

Essential Responsibilities

Contract Management

  • Review, draft, and process a variety of agreements, including customer contracts, nondisclosure agreements (NDAs), vendor contracts, SaaS agreements, service agreements, amendments, and renewals.
  • Manage the full contract lifecycle, including intake, redlining, execution, and archival processes (e.g., Docu Sign workflows).
  • Track contract deadlines, renewal dates, insurance requirements, and related compliance obligations.
  • Coordinate with internal teams to ensure compliance with delegation-of-authority and signature policies.

Corporate Governance

  • Maintain and update corporate records, entity filings, organizational charts, and compliance calendars.
  • Prepare and file annual reports, state registrations, and business licenses.
  • Assist with board of directors and committee materials, including resolutions, written consents, minute books, and meeting preparation.

Due Diligence & Transactional Support

  • Organize and maintain due diligence materials for corporate transactions, audits, or regulatory inquiries.
  • Support the legal team by compiling corporate documents, contracts, organizational information, and regulatory filings.
  • Coordinate with cross-functional teams and external counsel as needed to support transactional activities.

Compliance & Policy Support

  • Assist in drafting, reviewing, and updating corporate policies, standard templates, and compliance documentation.
  • Support the implementation and monitoring of internal compliance programs, including data privacy, cybersecurity, and other regulatory requirements.
  • Evaluate, track, and organize vendor compliance documentation, such as SOC reports and cybersecurity insurance materials.

Legal Research & Department Support

  • Conduct legal and regulatory research related to corporate, commercial, and compliance matters.
  • Summarize research findings and prepare briefing materials for attorney review.
  • Organize legal files, contract repositories, and internal databases.
  • Facilitate communication among internal stakeholders, outside counsel, and third parties.
  • Support special projects and initiatives as assigned by legal leadership.
Qualifications

Required

  • Bachelor’s degree or paralegal certificate from an ABA-approved program.
