Position: Contract and ITB Manager
Marshall Canada requires a Contract & ITB Manager in Ottawa, ON to join our team. Reporting to the Senior Manager, Commercial & Legal, the Contract & ITB Manager will play a pivotal role in managing various aspects of our contracts and ITB commitments as well a support the Senior Manager, Commercial and Legal - Canada. This role involves drafting, negotiating, and managing contracts with customers and ensuring compliance with legal standards and company policies.

Your responsibilities in this role:

Contract Management:

  • Prepares, executes, and maintains agreement documents covering subcontracts, cooperation, confidentiality, personal services consulting, and representatives (agency), including negotiating terms and conditions on renewals when requested.
  • Assistance in responding to queries from Internal stakeholders on contractual matters pertaining to both sales and procurements, lease administration, insurance, etc.
  • Reviews contract terms and conditions for bids & proposals; ensuring contracts and other documents comply with relevant regulations, laws, and industry standards.
  • Ensuring contracts are reviewed and renewed before expiry dates.
  • Manage company registrations in mandatory systems such as PSPC Supplier Registration Information system, US Government System for Award Management (SAM) and associated US procurement systems. Maintain Joint Certification Program requirement (JCP), Dun & Bradstreet and NATO Cage Code Registrations (NCAGE).
  • Assist with drafting, review, and management of Non-Disclosure Agreements (NDAs)
  • Assists with monitoring compliance with and administering terms of the various contract provisions.
  • Coordinate and collaborate with design staff to resolve interference's, review contractor
    -requested substitutions, Supplemental Instructions, Proposed Change Notices, Change Directives and Change Orders.
  • Reporting risks to management on a periodic basis highlighting any issues along with strategies for mitigation.
  • Maintaining records and filing systems for future reference on existing and new contracts, bids, and proposals
  • Review End User Statements received by Procurement and Contract Services related to equipment purchases and reviews to ensure compliance.
  • Responsible for continuous improvement; anticipates evolving business needs and changes in the regulations; demonstrates vision in advancing tools, technology, processes; well integrated in the community to stay abreast of best practices.
  • Other duties as assigned by the Senior Contract and Commercial - Canada.
  • Industrial Technological Benefits (ITB) and Value Proposition Management:

  • Manage the industrial and technological benefits commitments and portfolio of the company.
  • Coordinate reporting against obligations (transactions) and ensure necessary actions are documented to demonstrate ITB eligibility criteria.
  • Report to internal stakeholders the current ITB status and develop strategies to meet outstanding commitments.
  • Liaise with internal customers (e.g. sub-contracts and procurement) as required for the selection of suppliers and contractual negotiations to ensure maximum industrial and technological benefits.
  • Liaise with different Canadian government agencies/officials (ISED), customers and Global Offset Manager to ensure alignment.
  • Other duties as assigned by the Senior Contract and Commercial - Canada.
  • Apply if you have most of the following:

  • Either an Undergraduate degree in business administration, legal studies, or completion of a related post-secondary education program or a paralegal or law clerk with at least two years of experience, and/or legal administration diploma.
  • At least six years of experience working in contracts administration capacity or legal office setting.
  • Excellent written and verbal communication skills with an ability to clearly explain legal terms to cross-functional teams within the organization.
  • Experienced level understanding of legal and regulatory issues relating to commercial contract.
  • Experience in offsets/ITBs management including drafting, negotiating, and managing complex and high-profile transactions.
  • Ability to interpret and apply government guidelines and policies (such as familiarization with SACC, FARs, DFARs, etc.) in concrete business contexts.
  • The ability to manage multiple files and report progress/status on each as requested.
  • Meticulous attention to detail and strong problem-solving skills.
  • Be proactive and diligent in addressing staff issues related to areas of responsibility.
  • Excellent interpersonal and communication skills, including the ability to deal with all levels of the organization and with external third parties.
  • Must be eligible to meet the requirements of export control regulations, including the Canadian Controlled Goods Program and Canadian government security requirements.
