Position Overview

The Chief Legal Officer (CLO) serves as Mosaic's principal legal advisor and a key member of the executive leadership team. This role provides enterprise-wide legal, risk, compliance, and governance leadership while supporting Mosaic's strategic planning and long-term growth initiatives.

As a member of the Mosaic Leadership Council, the CLO plays a critical role in shaping organizational strategy, ensuring strong corporate governance, and proactively managing legal and enterprise risk across a complex, highly regulated healthcare environment.

Key Responsibilities
  • Serve as principal legal advisor to the President & CEO and executive leadership team
  • Provide strategic counsel on legal, business, and operational matters
  • Support and contribute to Mosaic's multi-year strategic planning and annual planning processes
  • Facilitate enterprise risk management in alignment with strategic objectives
  • Oversee all legal matters affecting Mosaic and its subsidiaries
  • Ensure integrity and maintenance of key corporate records
  • Assist the CEO and CFO with governance matters, including Board and subsidiary governance
  • Serve as liaison to the Mosaic Board of Directors Integrity Committee
  • Represent Mosaic before regulatory agencies, legislative bodies, auditors, and trade groups
  • Lead and oversee the Legal, Compliance, Risk, External Affairs, and Strategic Alignment functions
  • Select, direct, and manage outside counsel
  • Provide oversight of contracts, commercial agreements, joint ventures, acquisitions, leasing, financing, and legal due diligence
  • Provide legal guidance on employment matters in partnership with Human Resources
  • Identify legal risks and mitigation strategies impacting current and future business operations
  • Serve on the core team evaluating mergers and acquisitions
  • Support M&A strategy, relationship development, and due diligence
  • Partner with senior leaders to advance external affairs and government relations strategy
Requirements

Education & Licensure

  • Juris Doctor from an ABA-accredited law school
  • Active bar membership in good standing
  • Nebraska State Bar admission preferred

Experience

  • Minimum of 10 years of relevant legal experience; 15+ years strongly preferred
  • Healthcare, corporate, or highly regulated industry experience preferred
  • Prior executive or senior leadership experience required
  • Experience advising Boards and C-suite leaders

Knowledge, Skills & Abilities

  • Strong knowledge of business law, healthcare regulations, and corporate governance
  • Demonstrated ability to lead enterprise risk and compliance functions
  • Strategic planning and project management expertise
  • Exceptional judgment, discretion, and ability to maintain confidentiality
  • Strong relationship-building, communication, and influencing skills
