Overview
Clausewitz Reyes is a business law firm providing its business-owner clients with both corporate and litigation representation. We are looking for a seasoned Corporate/Transactional Attorney who brings strong judgment, client-first communication, and a practical, business-minded approach to helping clients move confidently from planning through closing and implementation.
Role and Responsibilities- Entity formation and governance: Advise on entity formation and maintenance, ownership and governance structures, equity and buy-sell mechanics; prepare governance documents, consents, and organizational records.
- Contract drafting and negotiation: Draft, review, and negotiate commercial contracts, employment and contractor agreements (including confidentiality, restrictive covenants, and incentive/equity-related terms).
- IP and confidentiality: Draft and advise on NDAs and related IP terms, including IP assignment/work-for-hire provisions and licensing guardrails as needed.
- Practical counseling: Provide pragmatic guidance on compliance and operational risk tied to contracts and governance, spotting issues and coordinating referral when specialized regulatory input is needed.
- Transactions and closings: Support transactions and closings, including term sheets/LOIs as applicable, diligence support, closing checklists, signature packets, and post-closing follow-up.
- Cross-functional coordination: Coordinate with accountants, lenders, brokers, insurers, and opposing counsel to keep matters moving efficiently.
- You communicate with clarity, professionalism, and empathy—clients feel informed and supported.
- You manage matters proactively and thoroughly, anticipating next steps and surfacing risk early.
- You balance autonomy with collaboration—knowing when to escalate and when to drive forward.

- Active Texas law license in good standing.
- 7+ years of experience in a corporate/transactional law role.
- Strong experience with contract drafting and negotiation and entity formation/governance
. - Employer-side labor & employment consulting experience (advisory-focused).
- Demonstrated client-facing advisory skills with a practical, business-oriented approach.
