• Advise on securities reporting and disclosure matters in compliance with SEC and NYSE rules
• Review and draft SEC filings, including Forms 10-Q, 10-K, and 8-K
• Provide guidance on Delaware corporate law and corporate governance matters
• Assist in negotiating documents for corporate transactions, including mergers and acquisitions
• Supervise 1-2 employees, managing hiring, training, and performance evaluations

• Minimum of 12 years of relevant experience, including 4-5 years in private practice and 4-5 years in in-house roles
• Must be a licensed attorney with a Juris Doctor (J.D.) from an accredited law school
• Proficiency in Microsoft Office Suite (Outlook, Word, Excel, PowerPoint)
• Exceptional written and verbal communication skills
• Ability to travel 10% of the time

• Experience managing a fast-paced workload and handling multiple projects simultaneously
• Self-sufficient with a strong sense of project ownership
• Commitment to high levels of service and support
• Ability to analyze complex transactions and draft well-developed agreements
• Proven track record of creatively resolving complex legal issues
