We are seeking a head of legal for our medium‑sized global corporation, poised for rapid international growth. The successful candidate will oversee a broad range of operational and strategic legal responsibilities, with an emphasis on international expansion, legal research, and the robust design of internal legal processes.

Location

100 % remote in Europe.

Language

Fluency in Ukrainian or Russian, with excellent written and verbal communication in English.

Responsibilities
  • Global structuring and design of the corporate legal structure, including creation of subsidiaries and sub‑holdings, and documentation of the tax strategy.
  • Co‑develop with the CFO a global tax strategy and target legal structure.
  • Maintain a comprehensive legal and tax compliance calendar covering all jurisdictions.
  • Monitor country‑by‑country compliance with statutory legal, financial and tax reporting deadlines.
  • Support the accounting department and external auditors; manage US, Canada, Estonia tax reporting including CFC and GILTI matters.
  • Co‑manage and implement the company‑wide tax strategy and legal structure, including profit shifting and allocation of economic functions.
  • Ensure intra‑group contracts and primary documentation are audit‑ready and complete.
  • Manage preparation of transfer‑pricing documentation and external financial audits.
  • Provide tax guidance to the internal accounting team and Financial Controller across all entities.
  • Manage external tax and payroll vendors worldwide, ensuring timely filing of returns and payments.
  • Conduct legal and tax research as warranted by business needs.
  • Monitor legislative and tax changes in the USA, Canada, and the EU; advise the CFO on required actions.
  • Manage preparation and submission of personal income tax return for the U.S. shareholder (UBO).
  • Conduct quarterly internal legal audits and develop risk mitigation strategies.
  • Co‑design customer risk assessment procedures and approve credit terms.
  • Own the design of legal processes and workflows in JIRA, and simplify contract forms for low‑value sales.
  • Review and update standard templates for customer, vendor and contractor agreements; implement a matrix of acceptable terms.
  • Find and contract new service providers for legal, tax and audit services.
  • Manage registration of new legal entities, bank accounts, and equity documentation.
  • Process KYC/AML requests from financial institutions.
  • Prepare intra‑company and financing agreements as requested.
  • Structure strategic transactions with the CFO; recommend optimal deal types and lead legal work‑stream for buy‑side and sell‑side deals.
  • Draft and negotiate core transaction documents and coordinate signing checklists.
  • Advise on corporate‑finance instruments and negotiate equity raises, debt facilities and warrants.
  • Lead negotiations with counterpart counsels.
  • Co‑lead legal reviews of customer contracts and negotiate complex provisions such as indemnities, IP ownership, data protection, export control, and governing‑law clauses.
  • Act as lead negotiator to resolve disputes and negotiate out‑of‑court settlements.
Requirements
  • English fluency is required.
  • Excellent communication, analytical, and organisational skills.
  • Master's degree in law.
  • Minimum of 10 years of high‑quality experience in corporate law, preferably focusing on international tax law, corporate finance and compliance, with at least 3 years of management experience at…
