Senior Corporate Counsel

• Counsel and advise on corporate and securities law matters, ensuring compliance with governance policies
• Support board of directors and committee matters, including meeting agendas and governance policy updates
• Advise on investor relations, equity transfer requests, and equity plan management
• Provide legal guidance on strategic transactions, including mergers, acquisitions, and corporate financing
• Partner with finance and compliance teams on financial audits and regulatory filings

• J.D. degree with an active law license and a current member of a State bar
• Minimum of 6 years of combined legal experience, including in-house experience at a technology company
• Experience with late-stage private companies transitioning to public entities
• Comprehensive understanding of securities law compliance, including SEC reporting requirements
• Strong problem‑solving skills, with the ability to provide practical and solution‑oriented legal advice

• Experience with equity compensation plans and executive compensation matters
• Proven ability to independently drive accountability and influence outcomes
• Exceptional judgment, integrity, and innovative thinking
• Detail‑oriented with a track record of producing high‑quality work
