Private Equity / M&A Associate Attorney

Base Salary Range: $190,000 – $365,000

A premier international law firm recognized for its client-first mindset and cutting-edge transactional work, is seeking a Private Equity / M&A Associate Attorney to join its highly regarded corporate practice in Boston. This position is ideal for a 4th–5th year associate who is eager to take on meaningful responsibility advising private equity sponsors and portfolio companies across a broad range of transactions.

The firm is widely respected for its collaborative culture, commitment to professional growth, and ability to offer attorneys the opportunity to work directly with sophisticated clients in fast-paced, high-impact matters.

This is a hybrid role, combining in-office and remote work flexibility.

Key Responsibilities:

In this role, you will lead and manage private equity-backed M&A deals and related corporate transactions. You’ll serve as a key point of contact for clients, working closely with business teams to provide strategic legal advice. Responsibilities include drafting and negotiating complex agreements—such as purchase agreements, merger agreements, and LLC/LP agreements—overseeing due diligence and deal execution, and collaborating across offices and practices to deliver high-quality legal solutions.

Key

Qualifications:

• Juris Doctor from an accredited law school with strong academic credentials

• 3–5 years of experience at a large law firm representing private equity sponsors and portfolio companies

• Significant experience in M&A and private equity transactions, including:

• Drafting and negotiating purchase and merger agreements, LLC and LP agreements, and ancillary deal documents

• Advising clients on the day-to-day transactional needs of private equity funds and their portfolio companies

• Exceptional drafting, writing, and analytical skills

• Strong organizational, verbal, interpersonal, and project management skills

• Business-oriented mindset with the ability to serve as an extension of the client team

• Admission to practice law in Massachusetts (or ability to obtain promptly)
