About the OpportunityOur clients have questions about their contracts. Our Contract Analysts read and review contracts in a technology platform, extracting relevant contract language/information and then analyzing that language/information to answer our clients’ questions.
Sometimes these questions are straight forward. What type of contract is it? Is it an amendment to another contract? When does it expire? The questions almost always get more complex. For example:

Does our client need to give notice or seek consent of the counter party to the contract for a triggering event (e.g., a pending merger or company acquisition)? - Compliance

Do contracts need to be amended to add in company or legally required compliance language (e.g., Data Privacy or Environmental, Social, and Governance (ESG) program)? - Risk
:
Do contracts conform to our client’s risk standards (e.g., limitation of liability thresholds and exceptions)? - Obligations

What are our client’s key rights and obligations under the contract and when do they have to be performed?
The questions change from one project to the next. While the contract types are usually commercial and vendor documents like Service Agreements and Supply Agreements, they will really range in complexity. Everything from short Non-Disclosure Agreements and Order Forms to 100+ page License Agreements and Financing Agreements. Regardless, every project gives an opportunity for our Contract Analysts to work on challenging, time-sensitive and high-profile projects for global financial institutions and Fortune 500 companies.
An opportunity to complete challenging analysis that goes well beyond issue spotting from an e-Discovery project.
We are looking to expand our pool of qualified Contract Analysts for our Contract Solutions projects. Contract Analysts work on a per-project basis and work is performed at the direction of attorneys who provide briefing materials, along with substantive training and support to the Contract Analysts. Contract Analysts will be members of a team that also includes project managers and contract subject matter experts.

- Experience reviewing and analyzing contracts; with a good understanding of contract structure, terminology and terms.
- Attention to detail, able to identify small nuances in contract language.
- Critical thinking / logical reasoning skills, able to interpret ambiguous and confusing contract language.
- Ability to quickly and accurately make decisions, entering data for large volumes of contracts, while also identifying where contract language presents new issues that need to be escalated to senior team members for clarification.
- Ability to elevate questions about contracts you review in a clear, to the point, and isolate the issue at hand.
- Experience and comfort working in Microsoft Excel, plus comfortable working in an online review tool.
- Experience working in-house at a corporation.
