Primary FunctionThe primary function of the Senior Corporate Counsel is to provide legal advice on a broad range of corporate, commercial, and transactional matters, while working cross-functionally with various teams throughout the company. The Senior Corporate Counsel drafts and negotiates agreements (using templates, improving or creating templates, drafting terms for unique deals and third party papers), and advises business teams as a partner in achieving the Company’s objectives.
This role supports corporate, Board, securities, compliance, M&A, and HR functions. The Senior Corporate Counsel works with key stakeholders to execute strategic business goals and provide practical legal advice, while protecting the Company’s interests and mitigating risk in areas such as confidential information, intellectual property, and revenue.
- Draft, review, and negotiate legal agreements with strategic partners, including contracts with customers, partners, and resellers.
- Advise on a broad range of commercial issues, including corporate governance, legal and regulatory compliance, capital raises, and international expansion and M&A.
- Assist with HR matters at all levels of the Company (Board Advisors, executives, employees, and independent contractors).
- Facilitate strategic relationships by advising on deal structuring, drafting custom terms and conditions, negotiating terms, and ensuring deals align with the Company’s pricing and authority matrix.
- Coordinate with outside counsel, including managing services and expenses, and engaging additional counsel for complex issues as needed.
- Provide subject matter support for privacy, including drafting policies, procedures, templates, and client negotiations.
- Support other legal teams and functions as needed.
- Prepare, review, and update corporate policies and regulatory compliance as applicable.
- Perform ad-hoc legal administrative tasks as needed.
- Prepare materials for Board Meetings, support the corporate secretary function, and assist with cap table management.
- Navigate evolving global compliance programs and collaborate cross-functionally to develop new processes and procedures for internal clients.
- Other duties as assigned by the Company.
- JD and admission to a state bar in good standing (or eligibility to practice as in-house counsel) with preference for New York Bar.
- 5+ years of experience at a major law firm, with in-house experience at a SaaS/technology company preferred.
- Experience in complex SaaS agreements and M&A transactions.
- Independent, self-motivated, and able to work under pressure with a service-oriented attitude.
- Strong work ethic with analytical thinking and problem-solving skills.
- Detail-oriented and organized with experience managing, structuring, and negotiating legal agreements and facilitating timely closings.
- Excellent multi-tasking, time and project management skills; capable of handling multiple review points and iterations.
- Strong written and verbal communication; reliable and responsive to email and phone communications.
- Highest level of integrity and good judgment with the ability to handle highly sensitive information.
- Strong computer skills, including proficiency with GSuite and Microsoft products.
$150,000 - $165,000 per year, plus an additional 5% variable annual bonus contingent on Company performance and eligible for a Restricted Stock Unit (RSU) grant.
* This is the pay range the Company believes is equitable for this position at the time of this posting. Compensation will be determined based on skills, qualifications, and experience, with the Company reserving the right to modify this pay range at any time in accordance with applicable law.
