As an Associate General Counsel at Arrived, you will play a crucial role in shaping the legal landscape for a fast-growing startup that is revolutionizing real estate investment. Reporting to the General Counsel in a director-level position, you will be responsible for a diverse range of legal tasks, with a primary focus on drafting securities disclosures, reviewing commercial contracts, team organization and personnel management, and working closely with multiple internal teams to manage product feedback and compliance.

Your expertise will be essential in ensuring compliance with regulatory requirements for fractionalized equity and credit investment offerings under Regulation A and Regulation

D. This highly cross‑functional role will grant you substantial access to product, finance, and investments team leaders, allowing you to provide invaluable legal guidance and support. • Drafting Securities Disclosures:
  • Prepare and review comprehensive securities disclosure materials for offerings under Regulation A and Regulation D, ensuring adherence to relevant laws and regulations.
  • Collaborate with internal teams and external counsel to ensure accurate and compliant securities documentation.
  • Conduct due diligence and research on legal and regulatory issues pertaining to securities offerings.
• Commercial Contract Review:
  • Review, negotiate, and draft various commercial contracts, including vendor agreements, partnership agreements, and customer agreements.
  • Identify potential legal risks and provide actionable recommendations to mitigate exposure.
• Compliance Oversight:
  • Work closely with the product team to ensure compliance with all relevant laws and regulations concerning the fractionalized investment platform.
  • Conduct regular internal audits and monitor ongoing compliance activities.
• Legal Automation:
  • Lead efforts in implementing and improving legal automation processes to increase efficiency and streamline legal operations.
• Corporate Governance:
  • Assist with corporate governance matters, including board meetings, resolutions, and other corporate documentation.
  • Advise on best practices to maintain legal and regulatory compliance within the organization.
• Legal Research and Analysis:
  • Stay up-to-date with relevant legal developments in the areas of securities, real estate, and investment regulations.
  • Conduct legal research and provide clear and concise analysis to support decision‑making processes.
• General In‑House Counsel Responsibilities:
  • Address a wide range of legal issues that arise in the course of day‑to‑day business operations.
  • Collaborate with cross‑functional teams to provide practical legal advice and solutions.

• Minimum of 3‑4 years of experience in a big law firm, PE fund or other fractionalized investments setting, with a focus on EC/VC, securities, or real estate practice.
